Mission

Provide a space for cultural and education events relevant for marginalized communities, including community forums, educational workshops, cultural performances, film screenings, book talks, and multimedia creations intended to raise awareness and opportunities for addressing injustice. Present and produce work that addresses the issues of social and economic inequality and educates the larger community about these issues.

Strenghten and unify social movements of working class and marginalized communities through presentation of community forums, workshops, and performances: providing space to community organizations and others: and fostering collaboration.

Duty to disclose: in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with board-delegated powers considering the proposed transaction. Violations of the conflicts of interest policy: a. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. B. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

It is the policy of the corporation to pay no more than reasonable compensation for personal services rendered to the corporation by officers and employees. The directors of the corporation shall not receive compensation for fulfilling their duties as directors, although directors may be reimbursed for actual out-of-pocket expenses which they incur in order to fulfill their duties as directors. The board of directors must approve in advance the amount of all compensation for officers of the corporation. Before approving the compensation of an officer, the board shall determine that the total compensation to be provided by the corporation to the officer is reasonable in amount in light of the position, responsibility and qualification of the officer for the position held, including the result of an evaluation of the officer's prior performance for the corporation, if applicable. In making the determination, the board shall consider total compensation to include the salary and the value of all benefits provided by the corporation to the individual in payment for services. At the time of the discussion and decision concerning an officer's compensation, the officer should not be present in the meeting. The board shall obtain and consider appropriate data concerning comparable compensation paid to similar officers in like circumstances. The board shall set forth the basis for its decisions with respect to compensation in the minutes of the meeting at which the decisions are made, including the conclusions of the evaluation and the basis for determining that the individual's compensation was reasonable in light of the evaluation and the comparability data.

Financial Statement Notes

PART X, LINE 2:

Tpf has been recognized by the internal revenue service as exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Tpf is required to make the appropriate tax payments on any income considered unrelated to its exempt purpose. Tpf did not incur federal and state income tax expense related to unrelated business income for the year ended december 31, 2018. Tpf accounts for uncertainty in income taxes in accordance with asc topic 740-10, income taxes. This standard clarifies the accounting for uncertainty in tax positions and prescribes a recognition threshold and measurement attribute for the financial statements regarding a tax position taken or expected to be taken in a tax return. Tpf has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the financial statements at december 31, 2018. Tpf files federal and new york returns. The statute of limitation for these jurisdictions is generally three years. Tpf has no returns under examination as of december 31, 2018.
