“With the objective of preserving the original mission of the founders of the Foundation, that being the preservation and promotion of bluegrass music, the board approved an amendment to the Foundation's bylaws in 2025 that split the governing board of directors into two classes: Founding Directors and General Directors. Founding Directors serve as protectors of the Foundation's mission and shall hold office until death, resignation, retirement, disqualification, or removal from office. General Directors hold office for one-year terms but may be re-elected to serve consecutive terms. The election of General Directors is subject to approval by the Founding Directors. Additionally, Founding Directors must unanimously approve: amending the Foundation's Articles, Certificate of Formation, or Bylaws; any decision involving a merger, conversion, or exchange of the Foundation; any decision involving the sale or exchange of all or substantially all of the Foundation's assets; any decision involving borrowing in excess of $10,000; the election of any Founding Director; any decision involving the winding up and termination of the Foundation; and the removal of a General Director.”
