Governance Explanations

Form 990, Part VI, Section A, line 3

The Organization delegated day-to-day operations to the Mechanical Contractors Association of NW Ohio.

Form 990, Part VI, Section A, line 6

The organization has two categories of members: regular members and associate members. Regular members include labor organizations, contractor/contractor association members and owner/design professionals.

Form 990, Part VI, Section A, line 7A

Each group within the regular member category elects three representatives that will serve on the board of trustees.

Form 990, Part VI, Section A, line 7B

In the event the Board of Trustees is unable to reach a consensus, a vote shall be taken with majority rule. Each of the three groups within the regular member category shall be entitled to a single vote regardless of the number of members present.

Form 990, Part VI, Section B, line 11

The organization has the treasurer review the Form 990 before it is filed with the IRS. The review is done in detail to make sure everything reported on the 990 corresponds with the records of the organization. The treasurer then distributes a copy of the 990 before it is filed to each one of the trustees. Once it has been reviewed by the trustees then the 990 is submitted to the IRS.

Form 990, Part VI, Section B, line 12C

All potential conflicts of interest are thoroughly investigated and each year every trustee is provided with a questionnaire to fill out to determine if any conflicts of interest may exist. The organization also uses periodic reviews to determine if any conflicts of interest exist.

Form 990, Part VI, Section B, line 15

Form 990, Part VI, Section B, Line 15: No compensation paid.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
