Governance Explanations

Form 990, Part VI, Section B, Line 11B

A draft of the return is reviewed first by internal management. After internal management has reviewed the return and any changes are made, a draft is made available for review by the organization's finance committee.

Form 990, Part VI, Section B, Line 12C

Each board member receives the conflict of interest statement annually and verbally confirms that they have no conflict. Employees are given a copy of the policy when they are hired.

Form 990, Part VI, Section B, Line 15A

The compensation of the ceo is determined when they are hired by a search committee appointed by the board of directors. Nationwide surveys are used which include the state of kentucky and other not-for-profit organizations. The executive committee of the board periodically reviews the ceo's compensation to determine if it needs to be adjusted.

Supplemental Narrative

Additional Explanations

FORM 990, PART XII, LINE 2C:

The organization receives an audited financial statement for the year for which it is completing this return prepared in accordance with gaap. The organization's audit/finance committee is responsible for the oversight of the audit and the selection of the independent accountants.

Financial Statement Notes

PART V, LINE 4:

Endowment corpus will be held in perpetuity and income used to support operations.

PART X, LINE 2:

The organization qualifies as a tax exempt organization under section 501(c)(3) of the internal revenue code. Accordingly, no provision for federal and state income taxes has been made in these statements. The organization's accounting policy provides that a tax expense/benefit from an uncertain tax position may be recognized when it is more likely than not that the position will be sustained upon examination, including resolutions of any related appeals or litigations processes, based on the technical merits. The organization has no uncertain tax positions resulting in an accrual of a tax expense or benefit. The organization's federal return of organization exempt from income tax is subject to examination by the taxing authorities until the expiration of the related statute of limitations on the return, which is generally three years.
