Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers any director, officer, employee, or volunteer. The interested person must disclose the existence of any actual, potential, or perceived conflict of interest as soon as such interested person identifies that there may be a conflict of interest, and before the organization enters into the proposed transaction or arrangement that gives rise to the conflict of interest. After disclosure of the actual, potential, or perceived conflict of interest, the board shall determine whether a conflict of interest exists. An interested person may make a presentation at the board meeting, but after the presentation, subject to applicable to kentucky law, the interested person shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. After exercising due diligence, the board shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is: (i) in the organization's best interests; (ii) for its own benefit; and (iii) fair and reasonable. The board periodically checks with its members, asking them to disclose any relationships and conflicts of interest.

The compensation of the executive director is approved by the board of directors on an annual basis. The medical director has a two year employment agreement created and signed by the board of directors. The compensation for all employees is determined by looking at comparable positions at other comparable organizations.
