Governance Explanations

Form 990, Part VI, Section A, Line 2

Various directors of the board are with financial institutions and business support services within the community and as such it can reasonably be expected that the financial institutions and business support services have professional relationships with officers, directors or key employees.

Form 990, Part VI, Section A, Line 7A

Judges - executive appoints three members each, vision 2015 appoints one member, northern kentucky chamber of commerce appoints two members and one member is elected for a three-year, renewable term by the board of directors itself.

Form 990, Part VI, Section A, Line 8B

"no" has been checked because the question is not applicable to the organization. The committees do not have the power to act for the board unless expressly provided.

Form 990, Part VI, Section B, Line 11

A copy of the 990 is provided to the organization's executive committee, finance committee, and board for review.

Form 990, Part VI, Section B, Line 12C

Board members are provided the ethics policy upon orientation and no instances of enforcement have been required to occur.

Form 990, Part VI, Section B, Line 15

The compensation determination process involves submittal of a line item budget to the finance committee with a recommendation to the executive committee, which both recommend that the board adopt the budget. The compensation for key employees is determined upon a combination of experience, degree of responsibility, training, previous compensation levels, comparable regional and national compensation data provided by the international economic development council (iedc), compensation study done by kmk consulting, professional executive search comparability analysis via survey participation and recent performance evaluations affecting incentive compensation.

Form 990, Part VI, Section C, Line 18

Financial Statement Notes

PART X, LINE 2:

The organization has adopted the provisions of the accounting pronouncement related to accounting for uncertainty in income taxes. The organization recognized no interest or penalties in the statement of activities for the years ended june 30, 2014 and june 30, 2013, resprectively. If the situation arose in which the organization would have interest to recognize, it would recognize this as interest expense and penalties would be recognized in other expenses. Tax years still open under federal and state status of limitations remains subject to review and change. Based on the evaluation of the organizations tax positions, management believes all positions taken would be upheld under an examination. Therefore, no provision for the effects of uncertain tax positions have been recorded for the years ended june 30, 2014 and june 30, 2013, respectively.
