Governance Explanations

Form 990, Part VI, Section B, Line 11B

The school's management reviews form 990 for accuracy and then it is presented to the finance and audit committee which consists of fnu management and board members. The final version of the form is then provided to the remaining board members to review before it is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

When any director, principal officer, or board member who has a direct or indirect financial interest in any matter coming before the board of directors, the interested person shall a fully disclose the nature of the interest and b.) shall withdraw from the discussion while the determination of conflict of interest is discussed and voted upon. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the university to do so. The minutes of the meetings at which such votes are taken shall record such disclosure, abstention and rationale for approval.

Form 990, Part VI, Section B, Line 15

The compensation for the president is reviewed annually by the executive compensation committee and is documented in the minutes of that meeting. The committee reviews data that documents salary and benefits for college/university president's at similar institutions in kentucky. This process was last done january 2023. Also, the president's compensation is audited by an outside auditor every 3 years. The chief operations officer maintains comparability data and makes recommendatons for compensation for other officers and staff whose compensation is reviewed annually by direct supervisors. The compensation is documented in the budget and then approved by the board. This process was last done april 2023.

FORM 990, PART XI, LINE 9:

Form 990, Part XII, Line 2B

The method did not change from the prior year.

Financial Statement Notes

PART V, LINE 4:

The primary objective of the investments for the endowment fund is to adequately support the university's current financial needs while preserving assets for future generations by providing long-term growth of income and principal.

PART X, LINE 2:

The university and the foundation are exempt from federal income taxes under section 501(c)(3) of the internal revenue code (the code). However, income from certain activities not directly related to the university's tax-exempt purpose is subject to taxation as unrelated business income. In addition, the university has been determined by the internal revenue service not to be a private foundation within the context of section 509(a) of the code. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the university and recognize a tax liability if the university has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the university, and has concluded that as of april 30, 2023 and 2022, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The university is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The university has filed its federal income tax returns for periods through april 30, 2022. These income tax returns are generally open to examination by the relevant taxing authorities for a period of three years from the later of the date the return was filed or its due date (including approved extensions).

THE PURPOSE OF THE DIVERSITY IMPACT CONFERENCE IS TO ENSURE THAT NURSE PRACTITIONERS AND NURSE-MIDWIVES UNDERSTAND THE CHALLENGES AND OPPORTUNITIES OFFERED BY DIVERSITY IN RURAL AND UNDERSERVED HEALTHCARE SYSTEMS. MOREOVER, DIVERSITY IMPACT ADVANCES SOLUTIONS TO THE DISPARITIES IN HEALTH CARE OUTCOMES. TO FURTHER DEMONSTRATE ITS ONGOING COMMITMENT TO DIVERSITY AND INCLUSION, FNU CREATED THE POSITION OF CHIEF DIVERSITY AND INCLUSION OFFICER (CDIO) IN 2017. THIS POSITION IS A MEMBER OF THE PRESIDENT'S CABINET AND IS LEADING NOT ONLY EFFORTS TO RECRUIT A DIVERSE STUDENT BODY, BUT ALSO TO ENSURE THAT THE INSTITUTION MAKES PROGRESS TOWARD THE GOAL OF BECOMING AN ANTI-RACIST UNIVERSITY INCLUDING CLIMATE SURVEYS, EDUCATION, AND POLICY INITIATIVES.
