Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Executive Committee consists of the Chairman of the Board, The Vice Chairman of the Board, the immediate past Chairman of the Board, the President and Chief Executive Officer, the Secretary, and the Treasurer. The only Committee member not on the governing body (the Board) is the immediate past Chairman of the Board who serves on the Executive Committee as an ex-officio, non-voting and non-fiduciary member. The Executive Committee may have and exercise all authority of the Board of Directors in dealing with the day-to-day management of the organization to the extent permitted by law. The actions taken shall be reported to the Board either by written minutes or report by the Chairman.

Form 990, Part VI, Line 4 Significant changes to organizational documents

Subsequent to the filing of the organization's 2023 Form 990, the organization's bylaws were amended to establish Everent Health, Inc., a Kentucky nonprofit corporation, as the organization's sole member.

Form 990, Part VI, Line 11B Review of form 990 by governing body

A copy of the organization's final form 990 (including required schedules), as ultimately filed with the IRS, was provided to each voting member of the organization's governing body. Additionally, a complete copy of the final form 990 was provided to all officers in attendance at the audit and finance committee meeting on September 23, 2025 and was reviewed prior to its filing with the IRS. In addition, the organization's return preparer and management presented a Form 990 summary report at this meeting.

Form 990, Part VI, Line 12C Conflict of interest policy

All organization personnel, members of the governing body and advisory boards are covered under the organization's Conflict of Interest policy. In the event a situation arises whereby an employee has a conflict of interest, he/she is obligated to report that potential to the President/CEO. Disclosure of a potential conflict and the President/CEO's decision regarding the actions will be noted in a file kept by the President/CEO. In the event a situation exists whereby a member of the governing body or advisory committee has a conflict of interest, he/she is obligated to report that potential to the governing body. The governing body will then render a decision of that member's eligibility to vote on any particular issue. Disclosure of a potential conflict and the governing body's decision regarding the conflict will be noted in the minutes.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The ceo/president, chief financial officer, chief compliance & administrative officer, and chief strategy officers' compensation was established and approved by the everent health, inc. Compensation committee appointed by the everent health, inc. Board of directors and will be reviewed annually by the compensation committee of the board of directors. The committee utilizes data provided by independent compensation consultant studies to provide a basis for comparison along with an assessment of the executives experience to arrive at the compensation amount for the newly created positions. This process was last undertaken in the 3rd quarter of 2024. The approval of the executive's compensation is documented in correspondence from the chro on behalf of the chair of the board of directors and located in the executive's employee file

Form 990, Part VI, Line 15B Process to establish compensation of other employees

The organization has a compensation program which applies to all personnel except the ceo/president, chief financial officer, chief compliance & administrative officer, and chief strategy officer. The policies and procedures define the general rules of operation of the compensation program. The compensation program was initially developed by the compensation firm, mercer, inc. And has had revisions and updates by hanna resource group. The ceo has the responsibility for implementing the plan. In 2024, compensation was approved by the board of directors based on recent comparability studies.

Financial statements, governing documents, and conflict of interest policies are not required to be disclosed publicly pursuant to Internal Revenue Code (IRC) Section 6104. These documents may be disclosed based upon the discretion of the board.

Employees having 2.5 hours or less per week as hours for related organizations do not have reportable compensation from related organizations listed as the value of their compensation for related organizations is identified as a component of purchased services and not as reportable compensation.

The total number of employees reported on Form W-3 and filed by the common paying agent, Hospice of the Bluegrass, Inc. for 2024 was 910. The Organization is exempt from income taxes on income from related activities under Section 501(c)(3) of the U.S. Internal Revenue Code and corresponding state tax law. Accordingly, no provision has been made for federal and state income taxes. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The Organization's Form 990 has not been subject to examination by the Internal Revenue Service or the Commonwealth of Kentucky for the last three years. The Organization does not expect the total of unrecognized tax benefits to significantly change in the next 12 months. The Organization did not have any amounts accrued or recognized for interest and penalties at December 31, 2024 and 2023.
