Whenever a board member has an actual or potential financial or personal interest in any matter coming before the board, the interested member(s), or any member with knowledge of the interest, should fully disclose to the board the nature of the interest. After disclosure of the interest and all material facts, the interested member(s) shall leave the meeting while the disinterested board members decide by majority vote if a conflict of interest exists. If the board decides a conflict of interest exists, the board will direct that: 1.no interested board member may vote or lobby on the matter or be counted in determining the existence of a quorum at the meeting of the board at which such matter is voted upon; 2.any matter in which any board member has a financial or personal interest will only be approved by board members not so interested and only if it is determined to be in the best interests of the organization; 3.any approved direct or indirect payments to any interested board member should be reasonable and not exceed fair market value; 4.the minutes of meetings at which such votes are taken shall record such disclosure, abstention, and rationale for approval. If the board has reasonable cause to believe any interested member has failed to disclose actual or possible conflicts of interest, it should inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board determines the member has failed to disclose an actual or possible conflict of interest, the board shall take appropriate disciplinary and corrective action. In furtherance of the policy, all board members will be required to complete a conflict of interest certification and disclosure form on an annual basis and whenever information reported on the form changes or there is new information relevant to conflicts of interest.

Form 990, Page 2, Part III, Line 4A

Commonwealth theatre center (ctc), formerly walden theatre/blue apple players (merged january 2015), provides a continuum of theatre education with a deep heritage of excellence, innovation, and commitment to lifelong learning. For 48 years, ctc programs have been an effective and unique part of creative, academic, social, and economic development in the greater louisville area and beyond. In fy23 ctc reached 12,485 youth and adults through our outreach, conservatory and main stage performances. Annually, ctc's outreach programs serve over 50 sites across the region, working with community centers, libraries, and many title i schools. Ctcs conservatory draws students from more than 50 local schools each year and hosts over 3,000 patrons in our nancy niles sexton theatre. Ctc's mission is to develop youth and our community through excellence in comprehensive theatre education and performance. Our continuum of learning includes blue apple outreach's touring productions as well as the interdisciplinary workshop and residency programs that enrich social, emotional, and academic growth. With a no-audition policy and financial aid for students, the walden theatre conservatory includes intensive theatre training for youth ranging from introductory to professional, student-produced and acted performances, an alumni program, professional performances, and adult acting classes.

The theatre is exempt from federal income tax under section 501(c)(3) of the internal revenue code. In addition, the theatre qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization other than a private foundation under section 509(a)(1). Management has concluded that any tax positions that would not meet the more-likely-than-not criterion of fasb asc 740-10 would be immaterial to the financial statements taken as a whole. Accordingly, the accompanying financial statements do not include any provision for uncertain tax positions, and no related interest or penalties have been recorded in the statement of activities or accrued in the statement of financial position.
