Governance Explanations

Form 990, Part VI, Section A, Line 2

All current board members are also members of the builders exchange of kentucky, which operates as a membership-based organization. The organization owns the building in which it operates. Board members who own or are employed by construction-related businesses may occasionally submit bids for repair or maintenance work on the building. These opportunities are open to all builders exchange members. Any business transactions involving board members or their companies are reviewed for conflicts of interest and disclosed in the organization's related party transaction disclosures, as required.

All board members are elected by the members at the annual meeting. The officers are then elected by the board of directors at its first meeting immediately after the annual meeting of the membership.

The members of the organization have to vote for any changes to the bylaws.

Copies of the organization's form 990 and 990-t are reviewed by the executive director and e-mailed to members of the board for review prior to filing with the irs.

The board of directors reviews all conflicts of interest to determine how they should be handled. The conflict of interest policy of the corporation states that a conflict of interest transaction can either be direct or indirect. If a direct interest conflict occurs, the board reviews to determine if the material facts of the transaction and the directors interest were disclosed to the board of directors and that the board approved the transaction or that the transaction was fair to the corporation. A director is considered to have an indirect interest transaction with the corporation if a transaction occurs in which a director has material financial interests or is a general partner to the transaction or it involves another entity where they are a director, officer, or trustee.

Executive officer compensation is determined by the board of directors based on their knowledge of the industry and comparable businesses and the value to the organization. Other employee compensation is approved by the directors based on recommendation of the executive officer.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal state income taxes as organizations described under 501(c)(6) of the internal revenue code and section 141.010(1)(f) of the kentucky revised statutes, except for income derived from unrelated business activities. The organization had no unrelated business income for the years ended december 31, 2024 and 2023. No provision for income taxes has been made in the accompanying financial statements. Gaap prescribes a comprehensive model for how an organization should measure, recognize, present and disclose in its financial statements uncertain tax positions that an organization has taken or expects to take on a tax return. There is no impact on the organization's financial statements as a result of the application of these accounting principles.
