Governance Explanations

Form 990, Part VI, Section A, Line 8B

Committee meetings are not individually documented. Instead, each committee has its secretary present to the board of trustees. If a vote is needed, one is taken and adopted by the entire board.

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed and approved by the finance committee. The form, excluding the list of major donors on schedule b, is then presented to the full board of trustees for final review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

The college's conflict of interest policy requires that all officers, directors, and employees disclose any conflicts immediately upon discovery. Compliance is consistently monitored and reviewed on an annual basis. The trustees, officers, and employees have a responsibility of administering the affairs of the college honestly and economically, and of exercising their best care, skill, and judgment for the sole benefit of the college. Therefore, the interest of the college must have full competitive advantage to the college in terms of product, service, and price.

Form 990, Part VI, Section B, Line 15A

The finance committee is responsible for reviewing and approving compensation for the college president. Its recommendation is incorporated into the college's budget, which is approved by the board of trustees. Compensation for other college officers and key employees is reviewed and approved by the president, board of trustees, and the president's cabinet.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Additional Explanations

FORM 990, PART XI, LINE 9:

Change in value of split-interest agreements -534.

FORM 990, PART XII, LINE 2C:

Trinity college has a finance committee that oversees the audit process and meets with the audit team each year during the planning process and then again when the audit concludes. The finance committee is also involved in reviewing the annual audit engagement letter and determining that the work the auditors do is reasonably priced and satisfactory for the college's purposes. The finance committee bases their decision on a review of the auditor's qualifications, pricing, and responsiveness to the college's needs through the year.

Financial Statement Notes

PART V, LINE 4:

The college's endowment consists of several individual funds established to support scholarships and student aid.

PART X, LINE 2:

The college is exempt from federal income tax under section 501(c)(3) of the internal revenue code and from florida income tax under chapter 220 of the florida statutes. Accordingly, no provision for income taxes has been included in the accompanying financial statements. The college has been determined by the internal revenue service not to be a private foundation within the meaning of section 509(a) of the internal revenue code. Fasb asc topic 740, income taxes, clarifies the accounting and recognition for income tax positions taken or expected to be taken in the college's income tax returns. The college's income tax filings are subject to audit by taxing authorities and filings for periods after fiscal 2019 are open for examination. The college does not believe it has any unrecognized exposure relating to uncertain tax positions at june 30, 2023.
