Governance Explanations

Form 990, Part VI, Section B, Line 11

When form 990 is finalized the form is submitted for review to the director of finance, and it is provided to the board of directors after filing.

Form 990, Part VI, Section B, Line 12C

Compliance with the conflict of interest policy is monitored in accordance with the organization's code of ethics. Prior to board or any commitee action involving a conflict of interest, a board member or any committee member having a conflict of interest who is in attendance at a meeting shall disclose all facts material to the conflict of interest. Such disclosure shall be reflected in the minutes of the meeting. A board, executive committee, or other committee member who plans not to attend a meeting at which he or she has reason to believe that the board, executive commitee, or other committee will act on a matter in which the person has a conflict of interest shall disclose to the chair of the meeting all facts material to the conflict of interest. The chair shall report disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. A person with conflict of interest shall not participate in or be permitted to hear the board, executive committee, or committee's discussions of the matter except to disclose material facts and to respond to the questions. In addition, the person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote, nor shall he or she be present in the meeting room when the vote is taken unless the vote is by secret ballot.

Financial Statement Notes

Part V, Line 4

The endowment fund represents funds that are either designated for a particular use by the board of directors or are subject to restrictions by the donor or grantor. Income from endowment investments may be used for support of association operations.

Part X, Line 2

The association is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes on related income pursuant to section 501(a) of the internal revenue code and chapter 220-13 of the florida statutes, respectively. The symphony evaluates its tax positions for any uncertainties based on the technical merits of the position taken in accordance with authoritative guidance. The symphony recognizes the tax benefit from an uncertain position only if it is more likely than not that the position will be upheld on examination by taxing authorities. The symphony has analyzed the tax positions taken and has concluded that as of june 30, 2017 and 2016, there were no uncertain tax positions taken, or expected to be taken, that would require recognition of a liability or disclosure in the financial statements. Management is required to analyze all open tax years, as defined by the statute of limitations, for all major jurisdictions, including federal and certain state taxing authorities. At june 30, 2017, the symphony is no longer subject to u.s. Federal, state and local, or non-u.s. Income tax examinations by taxing authorities for years before 2014. As of and for the years ended june 30, 2017 and 2016, the symphony did not have a liablity for unrecognized taxes. The symphony has no examinations in progress and is not aware of any tax positions for which it is reasonably possible that the total amounts of unrecognized tax liabilities will significantly change in the next twelve months.
