“The executive committee shall have and may exercise the authority of the board in the management of the business and affairs of the corporation except for those matters which by law may only be determined by a vote of the full board of directors, or as otherwise set forth in the bylaws.”

“Any person, corporation, partnership, organization, association, governmental agency or entity may become a member of the corporation (individually a "member and collectively the "members") if it satisfies the requirements of membership. Membership in the corporation shall be divided into 6 (six) classes, as follows: (1) economic development organization members. Economic development organization members are limited to county-wide economic development organizations that are recognized by the county as the primary economic development organization for the county, that represent a county within the region, and that pay dues annually at the following amounts, which amounts may be changed from time to time by the board of directors for this class of membership: (a) for counties with a population of less than 25,000, $5,000 annually; (b) for counties with a population between 25,000 and 49,999, $7,500 annually; (c) for counties with a population between 50,000 and 149,999, $10,000 annually; and (d) for counties with a population above 150,000, $15,000 annually. (2) higher education members. Higher education members are accredited institutions of higher learning offering associates, bachelors, or higher-level degrees. Colleges or satellite campuses of universities will pay annual dues of $5,000 and universities will pay annual dues of $10,000, which amount may be changed from time to time by the board of directors for this class of membership. (3) workforce development members. Workforce development members are limited to regional workforce boards representing counties within the region, that pay dues annually of $2,500, which amount may be changed from time to time by the board of directors for this class of membership. (4) all other members that are not economic development organization members, higher education members, or workforce development members can select from the following membership level classes: a. Sustainer level. Sustainer level members pay annual dues of at least $25,000, which amount may be changed from time to time by the board of directors for this class of membership. B. Cornerstone level. Cornerstone level members pay annual dues of at least $15,000, which amount may be changed from time to time by the board of directors for this class of membership. C. Champion level. Champion level members pay annual dues of at least $10,000, which amount may be changed from time to time by the board of directors for this class of membership. D. Advocate level. Advocate level members pay annual dues of at least $7,500, which amount may be changed from time to time by the board of directors for this class of membership. E. Ally level. Ally level members pay annual dues of at least $5,000, which amount may be changed from time to time by the board of directors for this class of membership. F. Friend level. Friend level members pay annual dues of at least $2,500, which amount may be changed from time to time by the board of directors for this class of membership. Friend level members are non-voting members and will be limited to non-profit or public sector partners with limiting budgets or small businesses with less than 20 employees and/or less than $500,000 in revenue. Except as otherwise provided in the bylaws, all classes of membership in the corporation shall enjoy similar rights and privileges.”

“Each member shall be entitled, but not required, to designate a representative (a "board director or "board directors," as the case may be) to serve on the board of directors, which representative shall be entitled to cast a single vote on behalf of the member on all matters that come before the board for a vote, and which board director may be replaced in the sole discretion of the appointing member at any time, upon giving written notice to the chair. In addition, each sustainer level member of the corporation and each cornerstone level member of the corporation that pays annual dues equal to or in excess of $15,000, but less than $25,000, may also designate one (1) additional board director, and such additional board director(s) shall have all of same the voting rights and privileges of other board directors.”

“The president will compare the prepared form 990 to the organization's records and review the form for completeness, accuracy, and reasonableness. The form will be provided to the organization's officers for review. The president will sign the return to be filed.”

“Members must make the organizaion aware of such conflicts of interest. The organization traditionally has an annual ethics presentation to make the board aware of this obligation.”
