“The executive committee has all powers and authority of the board of directors in the intervals between meetings of the board of directors in an emergency when the board of directors cannot be convened. The executive committee must report its actions to the board at the next board meeting.”

“Any organization or individual in agreement with the mission of the florida council against sexual violence, inc. (fcasv) may become a member upon payment of annual dues as set forth by the board of directors. Council members shall have the privileges to attend the annual membership meeting; serve on committees; to have access to resource materials available through fcasv; and attend fcasv events. Council members, however, do not have voting rights.”

“The form 990 will be reviewed by the executive director and director of finance and accounting, and then by the board of finance committee, before being reviewed by the full board of directors.”

“Conflict of interest disclosure forms are reviewed for accuracy upon receipt by the executive director. Potential board member conflicts of interest are brought to the attention of the board executive committee; and potential staff conflicts of interest are addressed by the executive director. In addition, all board members have voting rights. However, board members affiliated with certified rape crisis centers must recuse themselves from voting on any matter before the board which may impact the funding of their agencies. All board members comply with the board of directors conflict of interest policy, requiring disclosure of any conflict of interest.”

“The executive director's compensation offer was initially decided upon by the board after a review of salaries earned by executive directors at other statewide associations with similar operating budgets. In past years, the executive director's compensation has been determined by the board of directors after consideration of several factors, including the executive director's most recent performance appraisal, the agency's operating budget, and compensation offered the executive directors of comparable statewide organizations. Compensation of other key employees is determined by the executive director after consideration of similar factors.”

“Fcasv makes all of its governing documents, conflict of interest policy, and financial statements available to the public upon request. Such requests may be made verbally, or in writing, but must be made to the executive director. The following is fcasv's policy regarding the same: fcasv will allow public access to all documents, papers, letters, or other materials subject to the provisions of chapter 119, f.s., made or received by the council in conjunction with any contract with the state of florida. Public records requests must be directed to the attention of the executive director, who will respond immediately, when possible, but no later than thirty days of receipt. Confirmation that the requested documents fall under the provisions of chapter 119, f.s., may be sought from the general counsel, office of the attorney general, state of florida, and agency counsel.”
