Any individual involved in a real or potential conflict of interest will avoid involvement in the decision making process; however, the individual may disclose any known facts indicating why the proposed transaction is not in the best interest of the corporation.”

Annually, ahp's board of directors gathers compensation information through available compensation surveys, etc., with the intent of determining the compensation policies for the chief executive officer of the organization based upon the responsibilities required and the organization's size and location. The information is reviewed by the board of directors. The compensation package is established primarily to reflect the market value of the job position(s). This review is documented in the minutes of the referenced meeting.”
