Form 990 is compiled as a joint effort by the operations team and is then reviewed by the ceo and discussed in detail with the preparer. A copy is sent to the advisory board of directors prior to filing.

The advisory board regularly and consistently monitors and enforces compliance with the conflict of interest policy by reviewing completed conflict of interest forms annually.

Form 990, Part VI, Section B, Line 15

As part of the merger (see schedule o disclosure related to part iii, line 3), florida international university (fiu) acquired nfstc employees including the ceo and top management officials. Compensation is set by fiu. Employees are paid directly by fiu for their work activities and nfstc reimburses fiu for the portion of compensation related to nfstc's activities. As a faculty administrator position, the ceo's compensation is reviewed by the fiu human resources compensation department/team, as well as approved by the office of academic affairs/provost of the university. Nfstc had one employee of its own during 2020. The overall compensation for this position is set by fiu as it is a part-time shared position between fiu/nfstc (split 70/30) with the 30% paid for by nfstc as a w-2 employee. Fiu compensation is set according to pay ranges established for approved job codes/position classifications. All position compensation ranges and adjustments for individuals in those ranges is reviewed and approved by the fiu human resources compensation department. Since compensation is set by fiu, lines 15a and 15b have been answered "no" in accordance with the form instructions.

Additional Explanations

Form 990, Part III, Line 3

On december 18, 2017, the center entered into an agreement with the florida international university board of trustees ("fiu") to transfer substantially all of the assets of the center to fiu. In addition, the center will transfer funding agreements and certain other agreements which are central to the business of the center to fiu. All employees of the center on the closing date of the transfer will become employees of fiu. The closing date for the transfer was expected to be no later than december 29, 2017. A bill of sale and assignment agreement was executed on december 29, 2017 to transfer the assets and agreements to fiu. After the transfers were completed and the other business affairs of the center were concluded, it was planned that the center's operations would cease and the corporation would be dissolved during 2018. Subsequent to december 31, 2017, it was mutually determined there were certain legal and operational matters yet to be resolved in regards to transferring certain agreements to fiu. As a result, the transfer of assets and certain agreements to fiu was postponed until the legal and operational matters could be resolved. These matters have not been resolved as of december 31, 2020. It is planned that nfstc operations will cease and the corporation will be dissolved upon completion of the merger. During 2018, certain programs were transferred to fiu as part of the acquisition. Online course sales, test and evaluation, and video production services were transferred as well as the efec training contract. In addition, upon transfer of facility lease agreements to fiu, nfstc discontinued subleasing space to like-minded organizations. Partnerships with these organizations leveraged the combined expertise of subject matter experts ensuring that all stakeholders received and provided the highest level of forensic science services. During 2019, the inl projects were completed and all new projects in this program were awarded to fiu. Jijpoe programs were completed but not reawarded. During 2020, all projects and programs other than the gsa contract were either completed or novated to fiu.

FORM 990, PART V, LINE 2A:

National forensic science technology center, inc. (nfstc) filed 1 form w-2 for 2020. As part of the merger (see schedule o disclosure related to part iii, line 3), florida international university (fiu) acquired all other nfstc employees. Therefore fiu filed all form w-2's for the remaining nfstc employees.

Financial Statement Notes

PART X, LINE 2:

Nfstc is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and from florida income tax under chapter 220 of the florida statutes. Accordingly, no provision for income taxes has been included in the accompanying financial statements. The center has adopted fasb guidance regarding uncertainty in income taxes as codified in fasb asc topic 740-10. At december 31, 2020, management does not believe it has taken any tax positions that are subject to a significant degree of uncertainty. The center's income tax filings for the year ended december 31, 2017 and thereafter remain subject to examination.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0ON DECEMBER 18, 2017, THE CENTER ENTERED INTO AN AGREEMENT WITH THE FLORIDA INTERNATIONAL UNIVERSITY BOARD OF TRUSTEES ("FIU") TO TRANSFER SUBSTANTIALLY ALL OF THE ASSETS OF THE CENTER TO FIU. IN ADDITION, THE CENTER WILL TRANSFER FUNDING AGREEMENTS AND CERTAIN OTHER AGREEMENTS WHICH ARE CENTRAL TO THE BUSINESS OF THE CENTER TO FIU. ALL EMPLOYEES OF THE CENTER ON THE CLOSING DATE OF THE TRANSFER WILL BECOME EMPLOYEES OF FIU. THE CLOSING DATE FOR THE TRANSFER WAS EXPECTED TO BE NO LATER THAN DECEMBER 29, 2017. A BILL OF SALE AND ASSIGNMENT AGREEMENT WAS EXECUTED ON DECEMBER 29, 2017 TO TRANSFER THE ASSETS AND AGREEMENTS TO FIU. AFTER THE TRANSFERS WERE COMPLETED AND THE OTHER BUSINESS AFFAIRS OF THE CENTER WERE CONCLUDED, IT WAS PLANNED THAT THE CENTER'S OPERATIONS WOULD CEASE AND THE CORPORATION WOULD BE DISSOLVED DURING 2018. SUBSEQUENT TO DECEMBER 31, 2017, IT WAS MUTUALLY DETERMINED THERE WERE CERTAIN LEGAL AND OPERATIONAL MATTERS YET TO BE RESOLVED IN REGARDS TO TRANSFERRING CERTAIN AGREEMENTS TO FIU. AS A RESULT, THE TRANSFER OF ASSETS AND CERTAIN AGREEMENTS TO FIU WAS POSTPONED UNTIL THE LEGAL AND OPERATIONAL MATTERS COULD BE RESOLVED. THESE MATTERS HAVE NOT BEEN RESOLVED AS OF DECEMBER 31, 2020. IT IS PLANNED THAT NFSTC OPERATIONS WILL CEASE AND THE CORPORATION WILL BE DISSOLVED UPON COMPLETION OF THE MERGER.
