Governance Explanations

Form 990, Part VI, Section A, Line 6

Members can join the organization by paying annual dues. Members can consist of education and industry members and such additional members (non-profit organizations, students etc.) as may be admitted in accordance with qualifications and procedures established by the board of directors (the governing body). Representatives from interested government organizations can be liaisons to the board of directors in accordance with a memorandum of understanding or other agreement.

Form 990, Part VI, Section A, Line 7A

All education and industry members have full voting rights and are entitled to vote for the election of the board of directors. Student members and representatives of government organizations are non-voting members.

Form 990, Part VI, Section B, Line 11

Prior to filing, form 990 and related schedules were distributed to each member of the board of directors for their review and comment. While board members can provide comments from their review, the budget audit committee (bac) performs a detail review. Upon response from the bac, form 990 and related schedules are updated and finalized.

Form 990, Part VI, Section B, Line 12C

Annually disclosure statements are completed. If issues are identified they are reviewed by the board for disposition.

Form 990, Part VI, Section B, Line 15

Applicable members of the board of directors reviewed and researched relevant information supporting the compensation paid to chief executive officer and used this in their determination.

Form 990, Part VI, Section C, Line 19

The documents are available upon request during normal business hours.
