Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee of the board of directors shall consist of the following (4) directors: 1.the president of the foundation, who shall be chairman. 2.the secretary/treasurer of the foundation. 3.chairman of the finance committee of the foundation. 4.the vice-president of the foundation, who shall be vice chairman. The executive committee shall have and may exercise all powers and authority of the board of directors when the board is not in session, subject only to such restrictions as the board may from time to time specify. However, the executive committee shall have no authority to alter, amend, or repeal the charter or the by-laws of the foundation or to appoint directors. All actions of the executive committee shall be reported in writing to the directors individually within thirty (30) days after such action is taken or at a meeting of the board of directors, if a meeting is held within that period of time.

The pef has adopted the following policy regarding conflicts of interest: no officer, director or employee of the pef may serve as an officer, employee, partner, member or director of, or act as agent or fiduciary for or otherwise have a financial interest in a service provider, vendor, investment manager or business partner of the pef, unless such participation has been specifically authorized by the board president, and with full disclosure to the board. Any member of the board or committee who has or may have a conflict of interest shall notify the committee chairman (or other presiding officer) and board president of such actual or potential conflict prior to any meeting at which such matter may arise, and shall specify the nature and particulars of such actual or potential conflict. The presiding officer shall advise the board or committee of such potential conflict of interest before the matter is discussed, and the applicable member shall leave the meeting while the discussion of the matter ensues. No board member, volunteer committee member or staff member may participate in any vote or decision involving an entity with which he or she, or a member of his or her immediate family, is employed or has any direct or beneficial economic interest. At the first meeting of each fiscal year, board and committee members and staff will complete the conflict of interest disclosure statement.
