“Amendments to the bylaws can be approved by: 1. Board recommended and (a) membership meeting, 50% plus one of the quorum present; or (b) through online, mail or faxed votes, by 50% plus one of the votes casted or ballots returned. 2. Initiated at membership meeting and vote by two-thirds of the quorum present where (a) vote is available to the total voting membership online or mail within 15 working days following the membership meeting; (b) votes returned within 30 working days following the general membership meeting; (c) approved by 50% plus one of the voting members.”

“Form 990 and accompanying schedules are prepared by an independent accounting firm. The organization's executive director and deputy director review the form 990 and accompanying schedules. All questions and issues are resolved with the independent accounting firm prior to filing with the internal revenue service center.”

“The company has a conflict of interest policy that applies to both board and staff. The board and staff are asked to sign an acknowledgment of these policies on an annual basis in addition to completing and signing a conflict of interest questionnaire. All current board and staff have submitted their conflict of interest forms to the deputy director and all potential conflicts were disclosed and reviewed by the board president and executive director. It was decided that all disclosures were benign in nature and no further action was required at this time.”

Comparison to asae's 2018 association compensation table & benefits study was discussed with the president as well as a review of hcaf's 2018 annual survey data and the 2018 executive director's annual assessment results which is completed by the board of directors and staff.”
