“As stated in the Bylaws, "The executive committee shall consist of the elected officers of the club. They shall have all the power of the board of directors between meetings."”

“The organization has members. Membership shall be limited to women who have been active members of a junior league that is a member of the association of junior leagues international.”

“At the annual meeting a single slate of nominees is presented to the membership. Additional nominations may be made providing the nominees have proper qualifications, consent has been given and the candidate's name has been listed with the nominating committee at least 5 days prior to the election. The membership shall elect the officers by ballot, or by acclamation if there is no contested officers for one term. Nominating committee is also voted on by the membership at the annual meeting. Elected positions take office each May 1st.”

“Voting shall take place at any membership meeting - regular meetings/annual meeting/special meeting. A quorum consists of those in attendance at the meeting. The following items are voted upon:1. Amendments to the articles of incorporation and/or Bylaws2. Annual budget3. Adoption or amendment of financial commitments4. Election of officers of the board of directors and members of the nominating committee5. Approval of the civic involvement committee's grant recommendations”

“The prepared Form 990 will be reviewed by the treasurer and finance committee before being distributed to the board for their approval at a specially called board meeting (the finance committee usually meets a week prior to the board meeting). It will be filed after the board's acceptance.”

“Any conflicts of interests identified are disclosed before any transactions with a potential conflict is consummated. Any voting members with a conflict of interest are excluded from voting on the issue. The conflict of interest policy applies to directors, officers, all employees, and all independent contractors who can influence the actions of The League Club. The board or a duly constituted committee determines whether or not a conflict exists. The board members prepare and sign the conflict of interest disclosure statement on an annual basis, which the president collects and reviews. Signed forms are maintained in the office files.”

“The organization's governing documents, conflict of interest policy and financial statements are available upon request.”
