“There shall be an executive committee comprised of board members as follows: one member from each of the top three boat manufacturers based on market share, one member representing an equipment manufacturer, one member representing the cable park industry, one member representing the parasail industry, and two at-large members. The president, vice president, secretary, and treasurer shall also be members of the executive committee. Between the meetings of the board of directors, the executive committee shall conduct the ongoing affairs of wsia, and in so doing, shall have and may exercise all of the powers of the board of directors. Allocation of funds by the executive committee must be by unanimous vote thereof.”

“The organization has members. There are five classes of membership: regular, associate, sponsoring/associations, partner, and sales rep/schools/friend of the industry. The board of directors approves/rejects applications for membership by majority vote.”

“The following classes of membership have full voting privileges: regular, associate, partner.”

“The executive director reviews form 990 prior to filing. Board members may review the form 990 upon request.”

“Each officer and director is required to disclose any conflicts annually.”

“The governing board is responsible for determining the compensation of the executive director by a review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision. The executive director is responsible for determining conpensation for other employees by a review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberation and decision.”

“The governing documents, conflict of interest policy, and financial statements are available to anyone upon request.”
