Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors may appoint an executive committee of such board, and may delegate to such committee any of the powers and authority of the board of directors, except the power to adopt, amend, or repeal these by-laws. Such executive committee shall be no less than five (5) nor more than fifteen (15) directors, and shall include (i) the chairman, the vice chairman, the area vice chairmen, the secretary, and the treasurer, as ex officio members; and (ii) the remaining number as at-large members elected from the board. No person may serve more than three (3) consecutive one-year terms as an at-large member of the executive committee. The executive committee shall act only in the intervals between meetings of the board of directors, and shall be subject at all times to the control of the board of directors. The executive committee, with the concurrence of the board of directors, may employ one or more salaried staff members who shall be responsible for the day-to-day administration of the corporation.

All members of the board of directors and staff of the reliaquest bowl shall be subject to the conflict of interest policy. All board members and staff are required to disclose any potential conflict of interest and that disclosure must be presented to the board of directors. The reliaquest bowl conflict of interest policy specifically states that conflicted parties may not participate in any deliberations and or decision making for items in which a conflict of interest has been identified. The board of directors will make the final decision if there is a question as to whether there is a conflict of interest. There will be an annual certification process for all members of the board of directors and staff at the annual meeting. Signed copies of the bowl conflict of interest policy will be required from the board and the staff. A thorough review of any and all potential conflicts of interest involving the board or staff will be presented to the board of directors.

Prior to january 31, the end of the reliaquest bowl's fiscal year, the reliaquest bowl personnel committee meets to review every staff member including the president/ceo. Discussion points include job performance, job description and responsibilities review, goal setting, accomplishments, compensation and any matters pertaining to the individual employment. This is an area of great concern and attention to the reliaquest bowl's board of directors. This is a responsibility the personnel committee takes very seriously. Many resources, such as the ernst & young football bowl association compensation survey, are utilized to aid the personnel committee while performing their responsibility. The personnel committee makes decisions that impact very valuable assets of the reliaquest bowl.

Financial Statement Notes

PART X, LINE 2:

The reliaquest bowl is a nonprofit organization that is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code. However, the reliaquest bowl is subject to taxes on any income deemed to be unrelated business income for tax purposes. There was no provision for income taxes for the years ended january 31, 2025 and 2024. The reliaquest bowl has implemented the accounting guidance for uncertainty in income taxes and management believes that there are no uncertain tax positions for which either recognition or disclosure is required in the financial statements. The reliaquest bowl's tax returns are subject to review and examination by federal and state authorities. The reliaquest bowl is not aware of any activities that would jeopardize its tax-exempt status. The reliaquest bowl is not aware of any activities that are subject to tax on unrelated business income or excise taxes.
