“A statement of acknowledgement and compliance is completed annually by each officer and director. As soon as a duality of interest or possible conflict of interest on the part of any member of the board of directors is known, any such conflict is disclosed to the other members of the board of directors and made a matter of record. Action by the board of directors in connection with such interest is also disclosed in writing and made a matter of record. Any member of the board of directors having a duality of interest or possible conflict of interest on any matter does not vote or use his or her personal influence on the matter whenever such duality or possible conflict of interest arises. The minutes of that meeting reflect that: the conflict was disclosed; the party who is the subject of the conflict abstained from voting on the matter; and a quorum was present.”

“The executive committee of the board of directors reviews the executive director's performance each year and makes recommendations regarding compensation. The committee uses a salary and compensation study, as well as a search firm for compensation reasonableness. Recommendations are then presented to the other members of the board for consideration and approval prior to a final determination. The final decision of the review is documented in the executive director's personnel file. The last salary review took place in january 2019. The executive director, in consultation with the board of directors, determines compensation for other staff.”
