Two members of the organization's board of directors are married. They are bart and mona barham.

Form 990, Part VI, Line 11B: Form 990 Review Process

Since it is not practical for the entire board of directors to review form 990 before it is filed, the review process is delegated to a committee that reports directly to the board and a final version of the form 990 is provided to the full board after the return is filed with the government authorities. The review is conducted as follows: a detailed review of form 990 is first conducted by first care's finance director and her executive director. After this preliminary review, the form 990 is reviewed by a sub-committee of the board of directors consisting of the board treasurer (a cpa) and one other board member. After the sub-committee completes its review, the report is filed with the government. A copy of the form 990 is then made available to all board members at the next scheduled board meeting.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

First care's written policy states that it is the continuing responsibility of each officer, director and key employee to scrutinize his or her relationship and dealings with outside business interest for potential conflicts. If any conflict or potential conflict is discovered, the matter is required to be disclosed to the executive director (or to the board chair if the executive director is involved) who is then responsible for bringing the matter(s) to the attention of the full board. Each officer, director and key employee is required to complete a questionnaire with regards to any potential conflict or related party transaction and provide a complete explanation about any that took place during the year.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

First care's board of directors are responsible for establishing the compensation of executive/management level personnel. Each year during the annual budget process, first care's executive committee determines the compensation amount for the executive director and finance director. The recommendations of the committee are then presented to the full board of directors for consideration and final determination. Every three to five years a subcommittee of the board performs a thorough review of management's performance and compensation including the use of data for comparable positions in similar organizations. The findings of this committee are also presented to the full board for their deliberation and final determination. The budget for fiscal year 2013 included a reduction in compensation for the executive director and the finance director and minimal increases for staff.

First care notifies the public on its website that its financial statements, form 990, governing documents and conflict of interest policy may be reviewed during normal business hours, monday through friday, each week, at first care's central administration office.

PART X, LINE 2: FINANCIAL STATEMENT FOOTNOTE (FIN 48)First Care is a tax-exempt, not-for-profit corporation under Internal Revenue Code Section 501(c)(3). Accordingly, no provision for income taxes has been made in the accompanying financial statements. The Internal Revenue Service notified First Care by a letter dated April 12, 1984, that its governing documents and plan of operations were designed in accordance with section 501(c)(3) of the Internal Revenue Code (the Code). The Internal Revenue Service has also determined that First Care is not a private foundation within the meaning of Section 509(a) of the Code.
