The one class of voting members of the corporation propose and approve amendments made to the bylaws of the corporation. In order for amendments to the bylaws to become effective, the same must be approved by an affirmative vote of not less than 50% of the members of the corporation.

Form 990 is prepared by an independent cpa firm and an initial draft of the form 990 is reviewed by the president, cfo, and controller for accuracy before the return is filed. The approved draft of the form 990 is sent to the audit committee and board for review and approval before filing with the irs.

Food for the poor monitors and enforces compliance with the conflict of interest policy through annual related party confirmations signed by members of the board, officers, and by key employees. Executive management and hr personnel review the signed statements. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

The president makes recommendations to the board regarding compensation of other officers and key employees using comparative market data. THIS INITIATIVE AIMS TO DISTRIBUTE PRENATAL VITAMINS PROVIDED BY FFTP DONORS TO MORE THAN 135,000 PREGNANT AND BREASTFEEDING WOMEN ACROSS SIX DEPARTMENTS IN HONDURAS. (CONTINUED ON SCHEDULE O).THE CAMPAIGN IS BEING ADMINISTERED THROUGH 80 HEALTH CENTERS WITH THE BACKING OF SIX SUGAR COMPANIES AND REGIONAL HEALTH OFFICES. THE "FOR YOU AND YOUR BABY" CAMPAIGN ALSO IS CONDUCTING AWARENESS SESSIONS ABOUT THE IMPORTANCE OF VITAMIN SUPPLEMENTS. THESE SESSIONS, SUPPORTED BY MEDICAL STAFF AT EACH HEALTH CENTER, WILL EDUCATE WOMEN ON THE BENEFITS OF PRENATAL VITAMINS FOR THE GROWTH OF BABIES AND THE STRENGTHENING OF THEIR IMMUNE SYSTEMS.
