The executive committee is a standing committee comprised of the officers of the association. The executive committee is authorized to act on behalf of the board of directors when meetings are not in session.

The association delegated its bookkeeping duties to amc, inc.

Form 990, Part VI, Section A, Line 6

The association has two classes of members: commissioned and active. Commissioned members are the commissioned public defenders from each circuit whose office is in good standing with the association. Active members are employees of public defender offices from each circuit whose office is in good standing with the association. Termination of employment with a public defender's office terminates membership on the association. Voting is reserved for commissioned members.

Form 990, Part VI, Section A, Line 7A

The association's board of directors consists of two classes: commissioned members and associate members. Commission members are the commissioned public defenders from each circuit as long as their office is in good standing. Commissioned directors may be removed form service on the board of directors for good cause by a 2/3 majority vote of the board. Associate members are selected by the members of the association from employees of any office in good standing. There may be up to five associate directors serving on the board: two assistant public defenders, one administrator, one investigator or disposition specialist, and one other support employee. Associate directors may be removed from service on the board of directors for any reason by their public defender or for good cause by 2/3 majority vote of the board.

The association regularly monitors and enforces their conflict of interest policy. At each board meeting board members are asked if any potential conflict exists. If one exists, the board member must fill out a form to document the issue and conflict.

The executive director is compensated directly by the state of florida, an unrelated organization. This compensation is reported as an in-kind contribution to the association from the state of florida. Since the state of florida, is considered an unrelated organization and the association has knowledge of this arrangement, such compensation to the executive director for the reporting calendar year is reported by the assocaition on form 990, part vii, section a, column d.
