“On july 12, 2018, the david lawrence mental health center, inc. (center) filed a lawsuit against the foundation for breach of agreements. These agreements, which require among other things that the foundation (a) make distributions to the center as requested by the board of directors of the center, (b) integrate or merge with the center, and (c) honor the intentions of donors for assets it held as a fiduciary for the benefit of the center. The center was seeking enforcement of these agreements and damages relating to breaches of these agreements and fiduciary duty. The lawsuit went to trial in september 2020 and on october 28, 2020, the court found in favor of the center on all counts. Since that time, appeals were either denied by the courts or withdrawn and all other matters involving the parties in this litigation have been settled with no additional liability for either the center or the foundation. As a result of the court's decision on october 28, 2020, the court appointed twelve new members of the foundation's board of directors who met for the first time on november 18, 2020 and immediately assumed responsibility for the management of the foundation. On january 28, 2021, the foundation board executed a quit claim deed to transfer title of five acres of land with a book value of 220,000 to the center. On march 19, 2021, each of the boards of the foundation and the center approved the merger of the foundation into a single member limited liability company named the david lawrence foundation for mental health, llc (llc) in which the center is the sole member. As of march 19, 2021, the foundation ceased operations and the center has assumed responsibility for the operations of the llc. Hereafter, the net assets and activities of the llc will be reported with the center.”
