The Cornea Society

“During 2022, the society had a management contract with san francisco association management services (sf-ams). Under the annual contract, all personnel decision and financial operations are the responsibility of sf-ams. Payments made to sf-ams in exchange for these services totaled $294,000 during 2022.”

“The society has the following classes of membership: (i) candidate members, (ii) members, (iii) members with thesis, (iv) fellows of the cornea society, and (v) honorary members. Candidate members are restricted to individuals who are actively enrolled in ophthalmology training (i.e. Ophthalmology residents in acgme-accredited residencies or fellows in aupo-fcc compliance cornea fellowships). Members are restricted to ophthalmologists and/or phd's engaged in research in visual science whose training and credentials are deemed acceptable upon review by the membership committee. Members with thesis are limited to individuals who are board certified in ophthalmology by the american board of ophthalmology or the equivalent in the applicant's home country. Fellows of the cornea society are limited to individuals who graduated from an aupo-fcc compliant cornea fellowship program and have been in practice treating patients with corneal disease for 4 years. Lastly, honorary members are reserved for individuals of eminence recommended to such status by the executive committee and approved by the board of directors. The classes of membership entitled to vote on any matter or hold any office shall be those members who have obtained member with thesis or fellow status.”

“Elections shall be held at the business meeting of the membership of the society. Each voting member of the society in good standing shall have the option either to vote by email ballot on the proxy form prepared by or under the supervision of the secretary, or to vote personally by voice, hand count or written ballot (which form shall be identical to the email ballot) at the business meeting, at which time the total number of votes by proxy and in person shall be counted and directors shall be elected.”

“The form 990 is prepared by an outside tax professional. The form is then reviewed by the organization's outsourced finance and accounting staff, with questions referred to the outside tax professional. After a full review (with modifications where necessary), the final version of the form 990 is provided to all members of the organization's voting governing body prior to filing with the internal revenue service.”

“All board members and officers are required to sign annual conflict of interest statements, which is reviewed by the executive director and board members. Should a potential or actual conflict be identified, the interested person is not allowed to participate in or deliberate on the vote involving such matter.”

“The organization's governing documents, conflict of interest policy, and financial statements are currently not made available to the public.”
