Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board chair shall appoint each board committee, its chair, members, and assign the duties of each committee. Board committees are chaired by governors and report directly to the board of governors. Each committee shall be composed of a minimum of three (3) voting members. The purpose of the executive committee is to carry out specific directions of the board and to act on behalf of the full board to resolve urgent issues that may arise. The committee's primary functions shall include policy work; serve as liaison to the president & ceo; lead succession planning and executive search processes; review human resource policies including hiring and retention on an annual basis, review operational personnel action resulting in termination or suspension; and to initiate the board's involvement in establishing a strategic direction. The executive committee shall have all powers of the governing board except the encumbrance of property, reversal of previous board actions, or to employ or remove the president & ceo or governors. The committee may not alter, amend or appeal the articles of incorporation or the bylaws of the corporation. The committee shall oversee such affairs of the corporation as are referred to it by the board of governors and, during the intervals between meetings of the board of governors, shall have and exercise the powers of the corporation on behalf of the board of governors. The executive committee shall not modify or alter any action previously taken by the board of governors. Actions taken by the executive committee shall be ratified by the board at its next board meeting. The executive committee is subject to such limitations as may be provided by law, the articles of incorporation, these bylaws or by resolution of the board of governors.

The form 990 is prepared by an independent cpa and is presented to the finance committee for a full review and highlights are shared with the full board. A complete copy is made available to all board members to further review before filing.

Form 990, Part VI, Section B, Line 12C

Board members must sign and date annually the conflict-of-interest statement. Each interested person will be provided a copy of this policy upon entering board or committee service, and on an annual basis thereafter, no later than later january 31. At time of policy review, the interested person will acknowledge in writing that he or she has done so, by executing the sfc conflict of interest disclosure statement any member of the board of governors who has direct or indirect financial interest in any transaction or contract with the organization must promptly, and in advance of any board vote, disclose such interest to the board of governors. The individual concerned may not participate in discussion or vote relating to the subject of their interest the disclosure will be reflected in the minutes of the board meeting. Any interested person that is not a board governor, who has a conflict of interest not subject to board or committee action, must disclose the conflict to the board chair or president and ceo with regard to a transaction or contract, as soon as the conflict is known to the interested person the interested person shall refrain from taking any action that may affect sfc participation in the proposed transaction or contract. Any interested person with a conflict of interest will not participate or be permitted to hear board or committee discussion of the matter other than to disclose material facts or respond to questions from the board. The person in question shall not attempt to exert influence regarding the matter, at or outside the meeting. A person with a conflict of interest regarding a transaction or contract that will be voted upon at a meeting, will not be counted in determining the presence of a quorum for purpose of the vote in the event it is not clear whether a conflict of interest exists, the person with the possible conflict shall disclose the circumstance to the board chair or president and ceo, as appropriate. The board chair or president and ceo will determine whether a conflict of interest exists that is subject to this policy. The broadest disclosure possible shall be adopted in all cases to ensure the appropriate authorized parties can make informed decisions in the best interests of sfc for each conflict of interest brought before the board of governors, the full board will determine whether sfc (1) take no action; (2) disclose the situation more broadly and invite full board discussion/resolution of appropriate action to take; or (3) refrain from taking action and otherwise avoid the conflict.

Appropriate salaries for officers and key employees of senior friendship centers are determined by reviewing a compensation and benefits report prepared by the florida non-profit alliance. In this report, regional positions and salaries are compared based on operational size and annual budget to assist area nonprofits. We also look outside of non-profits as the market becomes more competitive. Ultimately, the ceo's salary is approved by the governing board.

The internal revenue service has determined that the center and foundation are exempt from federal income tax under section 501(c)(3) of the internal revenue code. The center and foundation are nonprofit florida corporations and, therefore, are not subject to state income taxes. Donations to the center and foundation qualify as a charitable contribution. Under the income taxes topic of the fasb accounting standards codification, the center and foundation have reviewed and evaluated the relevant technical merits of each of its tax positions in accordance with accounting principles generally accepted in the united states of america for accounting for uncertainty in income taxes, and determined that there are no uncertain tax positions that would have a material impact on the combined financial statements.

IRS990/Desc0SUPPORTIVE AGING: CASE MANAGEMENT COORDINATES THE DELIVERY OF IN-HOME SERVICES TO CLIENTS IN NEED, PROMOTING SELF-SUFFICIENCY AMONGST THOSE MOST AT RISK OF NURSING HOME PLACEMENT.REFERRALS FOR SFC AND REQUESTS FOR ASSISTANCE MUST FIRST GO THROUGH THE ELDER HELPLINE LOCATED WITHIN THE AREA AGENCY OF SOUTHWEST FLORIDA (AAA) TO BE TELEPHONE SCREENED AND ASSIGNED A PRIORITY SCORE BASED ON LEVEL OF NEED. THE CASE MANAGER WILL CREATE A CARE PLAN BASED ON THE NEEDS IDENTIFIED DURING THE IN-HOME ASSESSMENT. SFC CONTRACTS WITH APPROXIMATELY 30 LOCAL HOME-HEALTH AGENCIES AND A FOOD VENDOR TO PROVIDE THE IN-HOME CARE INCLUDING HOMEMAKER, PERSONAL CARE, RESPITE, HOME DELIVERED MEALS/ADULT DAY CARE (BOTH PROVIDED DIRECTLY BY SFC), NURSING, MEDICAL EQUIPMENT/SUPPLIES, CHORES, EMERGENCY RESPONSE SYSTEMS, TRANSPORTATION, HOME MODIFICATION AND POSSIBLY OTHERS.SERVICES ARE INDEFINITE UNTIL A CLIENT CAN NO LONGER REMAIN SAFE IN THEIR HOME. CASE MANAGERS REVIEW CLIENT NEEDS AND CARE PLANS AS NEEDED, BUT AT LEAST EVERY SIX MONTHS. CASE MANAGEMENT IS PROVIDED BY SENIOR FRIENDSHIP CENTERS IN DESOTO, LEE AND SARASOTA COUNTIES. ADULT DAY AND CAREGIVING SERVICES: SENIOR FRIENDSHIP CENTERS LICENSED ADULT DAY SERVICE CENTER, THE LIVING ROOM, PROVIDES A PERSONAL CONNECTION, WHERE FRAIL ELDERS AND PERSONS LIVING WITH DEMENTIA AND ALZHEIMER'S DISEASE ARE SEEN AS MORE THAN THEIR CHALLENGES. THE PROFESSIONALLY TRAINED STAFF GETS TO KNOW EACH PERSON TO SERVE THEIR UNIQUE NEEDS AND HELP THEM FEEL COMFORTABLE IN THEIR SURROUNDINGS. THIS STAFF OF PROFESSIONALS HELP THE FAMILY CAREGIVER BEGIN TO SEE THEIR LOVED ONE THROUGH A FRESH LENS, REDISCOVERING JOY AND PROMISE DURING SOME OF LIFE'S TOUGHEST CHALLENGES WITH APPROPRIATE PROGRAMMING TAILORED TO THEIR NEEDS, EXERCISE, BALANCE, ART CLASSES, TRIVIA, SINGING AND SO MUCH MORE!WITH A STAFFING RATIO OF 1:6, EACH PARTICIPANT IS ASSURED PERSONAL ATTENTION THROUGHOUT THE DAY. THE LIVING ROOM OFFERS STIMULATING ACTIVITIES SUCH AS FUN AND THERAPEUTIC GAMES, MUSIC, SOCIAL ENGAGEMENT, CELEBRATIONS, DISCUSSIONS, BRAIN FITNESS, ART/PET THERAPY AND MORE. RECOGNIZING THAT FAMILY CAREGIVERS OFTEN COMPROMISE THEIR OWN PHYSICAL AND MENTAL HEALTH TO CARE FOR A LOVED ONE, SENIOR FRIENDSHIP CENTERS OFFERS SUPPORT, EDUCATION, AND CONNECTION THROUGH CAREGIVER RESOURCE CENTERS. ASSISTANCE MIGHT BE FOR CAR REPAIRS, UTILITY BILLS OR RENT/MORTGAGE PAYMENTS. BY FINDING SOLUTIONS, WE BRING JOY.QUALIFIED CLIENTS MUST MEET INCOME GUIDELINES. THE ORGANIZATION'S MYRIAD OF SERVICES AND PROGRAMS ADDRESS THE PHYSICAL, SOCIAL AND EMOTIONAL NEEDS OF THE AGING POPULATION AND THEIR FAMILIES. INTERNATIONALLY RENOWNED SENIOR CENTERS ARE ON THE FOREFRONT OF PROGRAMMING.DAILY NUTRITIOUS LUNCHES ARE OFFERED AT NEIGHBORHOOD DINING SITES. ADULT DAY PROGRAMS AND FAMILY CAREGIVING SUPPORT CREATE A TRUSTED HAVEN DURING SOME OF THE MOST DIFFICULT TIMES IN LIFE. SUPPORTIVE AGING PROGRAMS INCLUDE HOME DELIVERED MEALS, IN-HOME COMMUNITY-BASED CARE, AND FRIENDSHIP AT HOME.
