Governance Explanations

Every member of the board of directors receives a complete copy of form 990 before the return is electronically filed with the irs. Form 990 and all schedules are reviewed by the board at a regulary scheduled meeting.

Time is given on the agenda of every meeting of the board of directors for disclosure of any identified conflicts of interest. The disclosure and discussion, if any, are recorded in the minutes of the meeting.

Compensation of the executive director is reviewed and approved by the executive committee of the board of directors. This independent group reviews comparable and corroborative data from the irs form 990 returns and other public information regarding the compensation of ceos and executive directors of similar organizations. This process was last undertaken in 2021. The executive director sets the compensation of all other staff. Dui program staff compensation is set with reference to comparable and corroborative data from similar dui programs in the state of florida.

Financial Statement Notes

PART X, LINE 2:

The council is exempt from federal income tax as an organization described in section 501(c)(3) of the internal revenue code and from state income tax pursuant to florida law. The council is further classified as a public charity and not a private foundation for federal tax purposes. The council has not incurred unrelated business income taxes. As a result, no income tax provision or liability has been provided for in the accompanying financial statements. The council has not taken any material uncertain tax positions for which the associated tax benefits may not be recognized under accounting principles generally accepted in the united states of america. Federal and state tax authorities may generally examine the council's income tax positions or (if applicable) returns for periods of approximately three to six years.
