The executive committee is made up of the elected officials of the board of directors and another individual from the board appointed by the president. The executive committee has the complete authority of the board of directors between board meetings but decisions of the executive committee are subject to approval of the board of directors at the next board meeting.

Form 990, Page 6, Part VI, Line 4

The following amendment to the bylaws of the lee building industry association, inc., a florida not for profit corporation (referred to herein as the "association") was approved by a majority of the board of directors of the association and adopted by two-thirds (2/3) vote of the members in attendance at a duly called meeting, with quorum present, as of the 18th day of october 2106. Article v, section 2 of the bylaws of the association are hereby amended and restated in its entirety as follows: at a minimum, the directors at large shall be comprised of the following member categories: three (3) directors-at-large shall be a builder/developer; three (3) shall be subcontractors; and three (3) shall be from the remaining categories. One director from each category shall be elected at each annual meeting, for a term of two (2) years; the intent being to stagger the term of office of the directors-at-large from each category, so that each year, one director from each category will be carried over to the third year of his term, and one new director from each category will be elected for a two year term. Each director, however, is to hold office until his successor shall have been elected and qualified. To the extent the board of directors elects to increase the number of its members, it shall do so in increments of three (3). Each incremental increase in the board of directors will be comprised of the following member categories: one (1) director shall be a builder/developer; one (1) director shall be a subcontractor associate; and one (1) director shall be from any category. The board of directors shall stagger the terms of any additional directors as it, in its sole discretion, shall decide. Directors may be re-elected for successive terms of three (3) years each. Article ix committees section 1. There shall be the following committees: a. The executive committee shall consist of: president (chairman), vice president, second vice president, secretary, treasurer, immediate past president, and the chairman of the membership committee. This committee shall conduct the affairs of the association in accordance with the constitution and by laws, policies and instructions of the board of directors. The executive committee shall be the policy and steering committee of the association, and shall be responsible for establishing a budget for the association and for all matters of policy and public statement, subject to the approval of the board of directors. The executive committee shall meet upon the call of the president or any four (4) of its members, stating the time, date and place of such meeting. Four (4) members shall constitute a quorum. B. The nominating committee shall be composed of six (6) members, and shall meet upon the call of the chairman. One-half (1/2) of the members shall constitute a quorum. The following will serve on an ongoing basis: president, first vice president, second vice president, immediate past president, . And two (2) members at large appointed by the president. The chairman of the committee shall be selected by the president. All other members of the committee shall be selected by the chairman, with the approval of the executive committee. C. The membership committee shall be composed minimum of three (3) and a maximum of five (5) members and shall meet upon the call of the chairman. One-half (l/2) of the members shall constitute a quorum. The chairman of the committee shall be selected by the president. All other members of the committee shall be selected by the chairman, with the approval of the executive committee. D. The finance committee shall be composed of a minimum of three (3) and a maximum of five (5) members and shall meet upon the call of the chairman. One-half (1/2) of the members shall constitute a quorum. It shall be charged with raising adequate funds to insure the proper functioning of the association, and with formulating and recommending sound fiscal and financial policies to the associat

A competent salary survey is used to benchmark compensation for the position utilizing nahb & fhba resources annually. The committee meets independent of the executive officer to discuss performance relative to the position description. During these deliberations, the committee also considers input obtained from other board members, staff and members of the association. Once a consensus is reached regarding performance, a similar discussion is held concerning compensation relative to annual benchmark and established objectives. The committee and/or the president (a member of the committee) then meet with the executive officer to discuss and document strenghts, weaknesses, and goals for the upcoming year. Compensation for the upcoming year is also discussed and documented.

Since its inception the bia and builders care have worked tirelessly to ensure the mission of builders care by providing services to those who cannot obtain repairs through traditional means. In this short period of time builders care, the philanthropic arm of the bia, has provided over 3.95 million in emergency services to the needy residents of lee county. The bia's mission is to "strengthen our community by advancing the professional building industry through advocacy, education and service." as advocates for the building industry we support public policy that protects consumers, our community and advances the interests of the building industry. The services we provide to the membership helps us to maintain a strong trade association and a united coalition by providing the information, expertise and opportunities that support business viability.
