Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is comprised of the board chair, vice-chair, secretary, and treasurer, and the chairs of the audit, development, and governance committees. With the exception of changes to the articles of incorporation and the bylaws, adopting the annual budgets, election and removal of officers and members of the board of directors, filling vacancies on the board of directors or any committee thereof and setting the compensation of the president and the music director, the executive committee has the full power to act for the board of directors between meetings of the board of directors. The executive committee reports to the board of directors at each regularly scheduled meeting of the board of directors concerning its activities and provides such written reports as may be requested by the board of directors.

Form 990, Part VI, Section A, Line 2

The governance committee of the board of directors may recommend electing directors that have family relationships with current members of the board of directors. As part of the nomination process, the governance committee discloses to the full board of directors all family or business relationships before a vote is taken. The directors listed in form 990, part vii, section a, includes robert f. Shuck and marcy shuck, who have a family relationship.

Form 990, Part VI, Section A, Line 4

The florida orchestra amended its articles of incorporation during the year. Section 1 of article vi was amended to state that the officers of the organization shall be a chairman, secretary, treasurer and such other officers as may be provided for in the by-laws. The same person may be secretary and treasurer of the organization. Section 3 of article vii to state that members of the board of directors shall be elected and hold office in accordance with the by-laws. The by-laws may also provide for ex-officio members of the board of directors who shall hold only such privileges, duties and rights as may be expressly specified in the by-laws, but in no event shall ex-officio members be included in the determination of a quorum nor shall they have the right to vote.

Form 990 is reviewed by the ceo, director of finance and accounting, and treasurer. All other members of the board of directors are provided a complete copy of the form as ultimately filed with the irs prior to filing.

FORM 990, PART XII, LINE 2C:

The audit committee assists the board of directors in fulfilling their fiduciary responsibility relating to corporate accounting, reporting practices of the organization, and the quality and integrity of the financial reports of the organization. The audit committee recommends to the board of directors to appoint and remove the company's independent auditors and determine their compensation. The committee is directly responsible for the oversight of the organization independent auditors. Responsibilities include: 1. Review and understand the company's annual audited financial statements and the annual report on internal control over financial reporting. A. The chair of the audit committee meets with the auditors and tfo officers to determine the scope of work and audit fees prior to commencing an audit. The audit committee reviews the scope of work and if it so required, will request from tfo officers a selection of other auditing firms to ensure competitive audit pricing and standards. B. The audit committee meets before the start of the audit and again once the audit is completed in draft form with the auditing firm. The audit firm presents both to the committee and the board of directors the final audit results. 2. Review and discuss with management and the independent auditors major accounting issues and judgements made in connection with the preparation of financial statements and any accounting findings and supervise its prompt correction. There has been no change from the prior year to the process for the oversight of the audit, review, or compilation of the financial statements or the selection of the independent accountant.

Financial Statement Notes

PART V, LINE 4:

The orchestra's endowment consists of several individual funds established for a variety of purposes. Its endowment consists of donor-restricted funds and funds designated by the board of directors for long-term investment. The orchestra's endowment distribution policy is intended to maintain the purchasing power of the endowment while providing distributions to support the orchestra's operations. The distribution formula is intended to distribute an amount approximately equal to the endowment's long-term expected total return.

PART X, LINE 2:

The orchestra is a not-for-profit corporation organized under the laws of the state of florida and is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. The internal revenue code provides for taxation of unrelated business income under certain circumstances. The orchestra believes that it has no liability for taxes with respect to unrelated business income. However, such status is subject to final determination upon examination of the related income tax returns by the appropriate taxing authorities. The orchestra follows accounting standards codification ("asc") topic 740, income taxes. A component of this standard prescribes a recognition and measurement threshold of tax positions taken or expected to be taken in a tax return. For those benefits to be recognized, a tax position must be more-likely-than-not to be sustained upon examination by taxing authorities. The orchestra's policy is to recognize interest and penalties associated with tax positions under this standard as a component of tax expense, and none were recognized since there was no material impact of the application of this standard for the years ended june 30, 2024 and 2023. The orchestra's information returns are open to irs examination for the 2020 tax year ended june 30, 2021, and all subsequent years.
