Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee of the school is made up of the elected officers of the board of trustees and acts for and on behalf of the board of trustees. It has the full authority of the board of trustees until the next general meeting and reports its actions to the board.

Form 990, Part VI, Section B, Line 11B

The board treasurer reviews a draft of the tax return for accuracy and completeness prior to signing and filing the tax return. The entire board is provided a copy of the public filing copy at the next board meeting.

Form 990, Part VI, Section B, Line 12C

The board of trustees is committed to avoiding conflicts between the interests of the school and any personal interest of a trustee. A trustee must manage his or her personal and business affairs legally and ethically, so as to avoid an actual or perceived conflict of interest. Generally, a conflict may arise when 1) a trustee has an existing or potential financial or other interest which impairs, or might appear to impair, his or her objectivity in serving the school; or 2) a trustee might derive, or appear to derive, a financial or other material benefit from his or her board service. Ultimately, the determination of whether a conflict of interest exists relies on each trustee's sound judgment, honesty, and ethics. When a potential conflict of interest exists or is believed to exist, prompt disclosure to the chair or co-chair is required. Recusal or abstention may be required. Each trustee is required to sign a copy of this policy on an annual basis. Each trustee is required to abide by this code of conduct/conflict of interest policy and with the by laws at all times. Failure to do so shall result in removal from the board of trustees. Further, violation of this policy or other policies adopted by the board of trustees may result in the trustee's removal from the board of trustees.
