Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the chair, vice-chair, immediate past chair, secretary, treasurer, artistic director, and the executive director. The executive committee shall possess and exercise only such powers and take only such actions as have been authorized by the board at any regular or special meeting. The executive committee shall assist the chair in setting the agenda for the regular meetings of the board. A majority of the executive committee shall constitute a quorum.

A draft of form 990 is e-mailed to the finance committee and the entire board. Comments and suggestions are shared by all prior to finalizing and filing the 990 with the irs.

For needs of the organization, suggestions are openly given for solutions at both board and staff meetings and committees meetings, and any conflicts of interest are disclosed at that time. When a decision is made regarding the issue, the individual with the conflict of interest is excluded from the vote in order to promote an impartial conclusion. Board members are reminded annually of the conflict of interest policy and its importance.

On an annual basis the executive director & artistic director are evaluated for performance and achieving goals. Also, a salary survey is completed every other year and the executive committee reviews compensation on form 990s from similar organizations on a yearly basis. A proposal and vote are then made at a board meeting to give an increase in salary. The process described here was last completed in 2022.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income tax under provisions of section 501(c)(3) of the internal revenue code and from state income taxes under similar provisions of the florida income tax code. Accordingly, no provision for federal and state income taxes has been recorded in the accompanying financial statements. The organization follows the standard for accounting for uncertain tax positions. As a result of the implementation, the organization has not recognized a liability for unrecognized tax benefits. The organization is not aware of any activities that would jeopardize its tax-exempt status. The organization is not aware of any activities that are subject to tax on unrelated business income, excise, or other taxes.

TO EXPAND ACCESS, OUR NO EMPTY SEAT INITIATIVE PROVIDES FREE OR REDUCED-COST FIELD TRIPS FOR TITLE I SCHOOLS, AND SCHOLARSHIPS AWARDED MORE THAN $25,000 IN FY25 TO ENSURE EVERY CHILD CAN PARTICIPATE.
