Governance Explanations

Form 990, Part VI, Section A, Line 7A

The members of the organization are entitled to vote and elect the individuals nominated by the board of trustees to serve on the board of trustees. A separate vote may be held for each individual nominated or the members may approve a slate of nominated trustees.

Form 990, Part VI, Section A, Line 7B

The organization's members are entitled to vote on the following matters: (a) ratification of amendments to the organization's bylaws made by the board of trustees since the last meeting of the members (b) approval of amendments to the organization's articles of incorporation.

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed by the finance committee of the board of trustees and then presented to the full board of trustees by the treasurer for approval.

Form 990, Part VI, Section B, Line 12C

The fort lauderdale historical society requires the members of the board to annually complete a statement of ethics and commitment and a trustee confidentiality policy acknowledgement.

Form 990, Part VI, Section B, Line 15

The process for determining compensation for the executive director and other key personnel involves conducting a thorough review of comparable compensation for similar industry positions using available compensation data. Additionally, consideration is given to local market factors and the experience of the candidate. The decisions regarding compensation determinations are substantiated in the minutes of the board of trustees, its committees and budget materials.
