“Region board members are elected by the full region board seated at the time of election. The region representatives to the national board are elected by the region boards seated at the time of the election. National officers (chair, chair-elect, past chair, and treasurer) are elected by the full national board seated at the time of the election. At-large national board members are elected by the full national board seated at the time of the election.”

“Changes to association bylaws must be ratified by two-thirds majority of the members present at the annual business meeting normally held in conjunction with the annual national conference.”

“Representatives of the cupa-hr budget and finance committee review the draft form 990 completed by the tax preparer with input from the national office staff, discuss any changes with the tax preparer and national office staff, and forward a copy of the corrected draft form 990 to the full national board of directors along with their recommendation for acceptance. The board then votes to accept the draft form 990 and it is then filed by the tax preparer.”

“The board of directors annually reviews salary data developed by quatt associates for the washington higher education secretariat(whes) association ceos. The whes is a group of 50 higher education associations that have one or more association staff members in the washington, dc area. Additionally, the executive committee reviews the performance of the president and ceo and of the association as a whole and makes a recommendation to the full board of directors. The full board of directors determines the president and ceo salary during a conference call discussion and vote. In addition, every 2-3 years, the board requests that quatt associates conduct a special study that includes similar whes associations. In regard to the salary determinations of other officers or key employees, the national board approves a budget amount for staff salary increases and bonuses, but leaves decision making and distribution of these funds to the president and ceo. The president and ceo annually reviews compensation survey data that quatt and assocaites prepares for the washington higher education secretariat to ensure that cupa-hr is equitably compensating vp and director-level positions. Every 2-3 years, he also requests that quatt conduct a special study focused on vp and director-level positions.”

“The governing documents (association bylaws, board policies and procedures) and conflict of interest policy (contained in the board policies) are posted on the cupa-hr website. Audited financial statements are available upon request and are regularly provided to banks.”
