“The organization's bylaws were completely revised in february 2017. The following are the significant changes made to the bylaws: 1. The officers now include a chair, the vice chair, the president, one or more vice presidents, a secretary, and a treasurer. The board of directors may appoint additional officers or assistance officers as it may from time to time determine. The president is a non-voting member of the executive committee. The officers in the previous by laws were the chair, vice chair, past chair, secretary, treasurer and member-at-large. The president and vice president(s) are paid employees of the corporation. 2. Compensation of the president shall be fixed by the executive committee, subject to ratification by the board of directors. Compensation of any other officer who is also an employee shall be set by the president and subject to ratification by the executive committee or board as part of the budget approval process. 3. Directors shall not receive compensation except by resolution of the board of directors that it is reasonable and necessary for performance of the corporation's charitable purposes. 4. The bylaws and articles of incorporation may be changed by a majority vote at a meeting at which a quorum is present providing advance written notice was given at least thirty (30) days' prior.”

“The members of the finance committee review the form 990 information and approve its content on behalf of the center's board of directors.”

“The members of the board of directors and executive committee are covered by the conflict of interest policy. The member shall disclose the conflict of interest as soon as he/she becomes aware of it, and the disclosure shall be recorded in the minutes of the meeting. Any member of the board of directors or the executive committee who is aware of a potential conflict of interest with respect to any matter coming before the board of directors or executive committee shall not vote in connection with the matter nor per his/her presence at the meeting be counted in determining whether there exists a quorum.”

“The executive committee shall review and make recommendations to the president and to the board of directors concerning matters related to staff policies, including pay and benefits. At its discretion, the executive committee shall make or obtain studies of the local market as it pertains to such matters.”

“The center's board of directors holds monthly board meetings which are open to the public. Individuals who would like to request information from the center may do so at that time.”
