Governance Explanations

Smithbucklin corporation is a management company which manages all aspects of the organization in accordance with the organization's bylaws and policies. Operations may include but are not limited to administration, membership, finance and accounting, convention/tradeshow/meeting planning, education, marketing, information technology and government relations. Smithbucklin employees provide these services and total fees paid to smithbucklin is $1,367,582.

Form 990, Part VI, Section A, Line 6

The psda bylaws state that there shall be two classes of members, voting and non-voting. A voting member shall be defined as a proprietor, partnership, firm, franchise, corporation, or division engaged in whole or in part in the supply, manufacture, or distribution of business printing and/or related products and services through all marketing channels to eventually serve the ultimate customer. A non-voting member shall be defined as an institution of higher learning,vocational education facility, research or consulting organization engaged in education, training,or research associated with the industry.

The psda bylaws state the leadership and governance committee shall identify candidates for officer and director positions and shall nominate one person for each vacant position. Additional nominees will be added to the ballot if a petition for an additional candidate, signed by at least ten percent (10) of the voting membership, is received by the executive vice president at least 120 days prior to the annual meeting. In the event there are no additional nominees, the nominees shall be deemed to be elected by acclimation.

The association is exempt from income taxes under section 501(c)(6) of the internal revenue code (irc). Certain activities unrelated to the association's exempt purpose, such as publication advertising, are subject to income taxes. Unrelated business income tax owed for the years ended october 31, 2014 and 2013 was $0. The association has adopted the requirements for accounting for uncertain tax positions. The association has determined that it is not required to record a liability related to uncertain tax positions for the years ended october 31, 2014 and 2013. The federal and state tax returns of the association for 2010, 2011 and 2012 are subject to examination by the internal revenue service and state taxing authorities, generally for three years after they were filed.
