The organization's executive committee shall be composed of the officers of the corporation and additional board members as recommended by the nominating committee and approved by the board. The executive committee shall have all authority and power of the board to conduct the business of the corporation in all matters, including but not limited to finance, investing, contracting, and directing programs, according to the corporation's bylaws and established policies and regulations.

Foundation's executive compensation program is administered by the compensation committee of the board of directors of indian river memorial hospital. The compensation committee meets as needed to review the executive compensation program and make recommendations for any changes to the supported organization's board of directors, as appropriate. The compensation committee directly, and independent of executive management, commissions an annual review by its independent consul ting firm, sullivan cotter, to evaluate the organization's executive compensation program against the competitive market utilizing data from comparable local organizations including, but not limited to, form 990 data as well as regional data from like organizations. The compensation review is conducted not less than annually and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations.

Financial Statement Notes

PART V, LINE 4:

Investment earnings from the endowment funds are used for the clinical excellence awards and maintenance for the critical care unit hospitality room at indian river medical center.

PART X, LINE 2:

The foundation is organized as a nonprofit corporation as described in section 501(c)(3) of the internal revenue code (the code) and is exempt from federal income taxes on related income pursuant to section 501(a) of the code. The foundation has received exemption as a type i supporting organization (a public charity) under 509(a)(3) and is not a private foundation. The foundation is also exempt from state income taxes on related income pursuant to chapter 220 of the florida statutes. The code provides for taxation of unrelated business income; however, such status is subject to final determination upon examination of the related income tax returns by the appropriate taxing authorities. U.s. Gaap prescribes recognition thresholds and measurement attributes for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Tax benefits will be recognized only if the tax position is more-likely-than-not to be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized will be the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit will be recorded. Management has concluded that they are unaware of any tax benefits or liabilities to be recognized at september 30, 2016 and 2015. The foundation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. Due to its tax-exempt status, the foundation is not subject to u.s. Federal income tax or state income tax. The foundation's irs form 990 has not been subject to examination by the internal revenue service or the state of florida for the last three years. The foundation recognizes interest and/or penalities related to income tax matters in income tax expense. The foundation did not have any amounts accrued for interest and penalities at september 30, 2016 and 2015. The tax returns filed by the foundation are generally no longer subject to examination for the years ended september 30, 2012 an prior.
