Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the chair of the board of directors, the vice chair of the board of directors, and the secretary of the board of directors. The chair of the board of directors shall serve as the executive committee chair. The executive committee shall meet as often as necessary to carry out its business and may be called together by the chair of the board or the head of school. The executive committee shall have delegated authority from the board of directors to address routine business matters between regular board meetings in accord with the guidelines and policies of the board of directors, and to assist the chair of the board of directors and the head of school in their joint responsibility to help the board to function effectively and efficiently by suggesting board meeting agenda items and rendering counsel and advice. The executive committee shall be responsible for recommending to the board of directors the compensation and benefits of the head of school. Notwithstanding the foregoing, the executive committee shall not have delegated authority to act for the board of directors on the following matters, which shall be specifically reserved for the board: selection or removal of the head of school; election or removal of a member of the board of directors; changes to the articles of incorporation or bylaws of the corporation; changes to the school's mission statement or statement of faith; incurring of indebtedness; sale of corporation assets or property; or adoption of the annual budget.

The form 990 is prepared by the organization's public accounting firm based on data supplied by the organization. The lcs board of directors is emailed a copy of form 990 for their review and asked to respond if they have any comments or concerns. The form 990 is also reviewed by the head of school and the chief financial officer before filing.

Form 990, Part VI, Section B, Line 12C

Any director, officer, or member of a committee with governing board delegated powers, who has direct or indirect financial interest in a transaction, contract, or arrangement, is an interested person. Duty to disclose - in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction, contract, or arrangement. Determining whether a conflict of interest exists - after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Procedures for addressing the conflict of interest a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction, contract, or arrangement c. After exercising due diligence, the governing board or committee shall determine whether the school can obtain with reasonable efforts a more advantageous transaction, contract, or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction, contract, or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction, contract, or arrangement is in the school's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether it is fair and reasonable. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Annual statements each director, officer, and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a. Has received a copy of the conflict of interest policy; b. Has read and understands the policy; c. Has agreed to comply with the policy; and d. Understands that the school is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

The process for determining compensation of the head of school includes review and approval by a compensation committee of the board of directors. A compensation survey is used in determining the compensation of the head of school. Documentation and approval are given to management for the upcoming school year. This process occurs every two years. Officer pay is reviewed, approved, and determined by the head of school as a part of the annual budgeting process. The board effectively approves officer pay when they approve the annual budget.
