“The corporate membership of the corporation shall be composed of active members and may also include associate members and honorary members. All active, associate, and honorary members of the corporation must be registered as adult leaders as established by the boy scouts of america. The corporation also may enroll friends of scouting. Friends of scouting shall not be part of the corporate membership of the corporation unless elected as associate members.”

“Each member at large shall be elected at the annual meeting of the local council by the active members then in office.”

“Active members may vote at the annual meeting to receive and approve financial statements as of the close of its most recent complete fiscal year and other such business as may come before the meeting. Active members may also vote in regular and special meetings on matters within their fiduciary responsibility and within the policies and procedures of the boy scouts of america.”

“The prepared form 990 is reviewed by the members of the audit committee during the annual audit meeting. Copies of the 990 are available at the next quarterly board meeting for all other board members to review. The scout executive signs electronic release form and the return is filed.”

“Each board member and officer has a duty to place the interest of the corporation foremost in any dealing with the corporation and has a continuing responsibility to comply with requirements of this policy. At least once per year, each board member and officer shall acknowledge his or her familiarity with this policy and shall disclose in writing to the chairperson of the board any existing material interest or co-investment interest subject to the policy via a disclosure statement. Conflicts will be reported to the chairperson who will refer the issue to the board or executive committee. The names of the board and officers who disclosed or otherwise were found to have a material interest in a proposed or actual interest will be reported to the relevant committee or entire board. The interested member shall not vote on any matter they are involved and at the discretion of the non-interested members, may be required to leave the meeting during discussion and voting.”

“The council makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
