The organization is made up of dentists thorughout the state of florida. All members have the same voting rights.

All decisions of the governing body are subject to the approval by the house of delegates.

Form 990, Part VI, Section B, Line 11B

Form 990 and accompanying schedules are prepared by an independent accounting firm. Form 990 and accompanying schedules are reviewed by the fda audit committee charged with the detail oversight of the form 990. The form and accompanying schedules are then provided to the fda board of trustees for approval prior to filing. All issues and questions are resolved with the independent accounting firm prior to filing with the internal revenue service center.

Form 990, Part VI, Section B, Line 12C

The association via its conflict of interest policy procedure continuously monitors all voting members of the governing body and members of any committee or work group. There is a written reminder provided to all members of the board for their first meeting as a reference guide. Then there is a verbal reminder at each meeting and included on the agenda. All board members sign/date a written statement that lists any business interests they are involved with, such as related banks or organizations that could potentially be a conflict of interest. Board members must also note that they do not have any conflicts and sign and date the statement (examples of banks, other business organizations who have dealings with the association are provided to the board members as examples, etc).

Form 990, Part VI, Section B, Line 15

For an existing executive director there is an annual compensation review committee formed by the governing body, the board of trustees, and includes the president and vice-president of the association. An independent third party compensation firm is used to determine appropriate compensation. There is comparison to compensation surveys for similar organizations in size, with similar responsibilities. New executive director's search and compensation are determined by an executive director search committee with final approval by the board of trustees. The board of trustees governing body approves the compensation via a contract agreement with the executive director. The governing body and the house of delegates also review the annual budget which includes compensation for the executive director, as well as, other key employees. The stipends for the two presidents of the association are reviewed and voted on by the council on financial affairs (budget review body), the governing body, and the house of delegates. The budget process includes contemporaneous documentation and reocrd keeping but excludes use of data as to the comparable compensation at similarly situated organizations, because this data is independently reviewed by the annual compensation review committee for the executive director position. The two processes are kept separate. This process occurs annually and was last conducted in february 2024, including budget approval, as well as, the executive director compensation review committee.
