Governance Explanations

PART VI: GOVERNANCE, MANAGEMENT, AND DISCLOSURE

“Section b, line 11b: the form 990 and accompanying schedules are prepared by an independent accounting firm and reviewed by the president of the board. Any discrepancies are resolved with the independent accounting firm prior to filing with the internal revenue service. Line 12c: the conflict of interest policy is disclosed annually to the board of directors. Board memebers are required to self report any potential conflicts of interest. When a conflict arises, the director with the conflict is expected to disclose in writings the existence of the conflict to the board of directors at the earliest possible time and to excuse himself or herself from all discussions and decisions related to the matter. Line 15a: the executive director's salary is determined on an annual basis by the executive committee of the board. Section c, line 19: the organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon written request.”
