“The organization was formed as a non-stock association with members. The members are businesses within the citrus industry and pay a nominal joining membership fee and annual membership fees based on their individual production. The members elect representatives from the membership group to serve on the board that serves as the governing body. The members approve significant decisions of the governing body and would share in the organization's net assets upon the organization's disolution. The members do not receive a share of the organization's profits or excess dues.”

The organization's chief executive officer and chief financial officer will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the president of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred”

“The process for determining compensation for the organization's ceo officers and key employees includes all of these elements: (1) review and approval by the board of directors or executive committee of the organization; (2) use of data as to comparable compensation; and (3) contemporaneous documentation and recordkeeping”
