The Organization has members which may be residential, corporate or by sponsorship. Members are required to contribute annual dues to sustain the Organization in accomplishing its mission.

Form 990, Part VI, Section A, line 7A

Directors shall be elected by the vote of the general membership at the annual meeting of the general membership of the Civic Association. Directors elected at the annual meeting of the general membership of the Civic Association shall hold office for one-year terms. The board shall designate annually, 17 of its members to constitute members of the Executive Committee. The executive committee serves at the pleasure of the board and runs the organization on a day-to-day basis. The board shall designate annually not less than five of its members to serve on the executive committee for a term of three years. There shall be not more than 17 members of the executive committee each serving staggered three-year terms with approximately one third of the executive committee up for election by the board each year

Form 990, Part VI, Section A, line 7B

Ultimately, all decisions of the governing body (the Executive Committee), are subject to approval by the Board who can vote the executive committee members out of office at the next annual meeting. In addition, all changes to the bylaws are subject to approval by the membership. The Board shall have the power to remove any director, either with or without cause, at any meeting of the Board. The Executive Committee may remove any officer at any time, either with or without cause.

All conflicts of interest are to be immediately reported to the Governance Committee and the Chairman of the executive committee. They are then recorded in the minutes of an executive committee meeting and the committee determines the appropriate action needed to address the conflict. A member who has a conflict shall not participate in any executive committee discussion, or other association committee discussion, in which the subject of the conflict is at issue.

Consistent with prior year, the Organization audit committee assumes responsibility for the oversight of the audit of the Organization's financial statements and the selection of an independent auditor. The executive committee is responsible for the final approval of the audited financial statements.

Financial Statement Notes

Part X, Line 2:

The Civic Association is a not-for-profit organization other than a private foundation under Internal Revenue Code Section 501(c)(3) since it is organized and operates for educational purposes. Internal Revenue Code Section 501(a) exempts the Civic Association from income taxes and Internal Revenue Code Section 170(b)(1)(A)(VI) allows donors a deduction for contributions to the Civic Association. The Civic Association evaluates its uncertain tax position in accordance with FASB ASC 740-10, Accounting for Uncertainty in Income Taxes. This pronouncement seeks to reduce the diversity in practice associated with certain aspects of measurement and recognition in accounting for income taxes. It prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position that an entity takes or expects to take in a tax return. An entity may only recognize or continue to recognize tax positions that meet a "more likely than not" threshold. The Civic Association assesses its income tax positions based on management's evaluation of the facts, circumstances, and information available at the reporting date. The Civic Association uses the prescribed more likely than not threshold when making its assessment. The Civic Association has not accrued any interest expense or penalties related to tax positions. There are currently no open Federal or State tax years under audit.

IRS990/Desc0The Palm Beach Civic Association (PBCA) had a successful season of programs and forums. The PBCA exceeded its membership and fundraising goals. During the season, the PBCA held 3 Signature Series events with well-known speakers including political analyst Charlie Cook, TV broadcaster Deborah Norville and former Ambassador Elizabeth Frawley Bagley.The Annual Community Service Award Breakfast featured TV journalist Richard Engel as the keynote speaker.(Continued on Schedule O) The PBCA hosted a Welcome Back Community Forum that educated attendees on water quality and a Traffic Forum to discuss traffic issues on the island. The PBCA gives back to the community through the following awards and scholarship programs: The Raymond J. Kunkel Award, the William J. "Bill" Brooks Community Service Award, the Town of Palm Beach Employee of the Year Award, and scholarships to two children of Town of Palm Beach employees. The PBCA award winning news reached nearly 5,000 subscribers and the communications team also worked with the Health Care Committee to produce a 2-part educational video series on heart disease and strokes. PBTV produced a hurricane special with information to prepare residents before, during and after a storm. The team developed and produced a new series highlighting cultural institutions: Felicia Taylor Arts Legacy Series and created a new studio interview program with notable people on the island: Studio 33480 with Tim Malloy. All communications are shared to our social media page with over 3,000 followers.
