The association's members elect members to the board of diretors.

Form 990, Part VI, Section B, Line 11B

Form 990 and accompanying schedules are prepared by an indpendent accounting firm. The cfo and ceo review the form 990 and accompanying schedules and resolve any issues or questions with the independent accounting firm that prepares the forms. The association's finance committee is designated as the responsible body for the final review of the form 990, and no further review by the board is required before the forms are filed with the internal revenue service. The subcommittee reviews responses of the independence questionnaire and the reporting requirements of the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The association has adopted a code of ethics, and part of its purpose requires the disclosure of conflicts of interest for all volunteer members. Each volunteer must complete the code of ethics annually. A volunteer member must fully disclose any perceived or actual conflict of interest to the board of directors. Any conflicts of interest incurred subsequent to the completion of the code of ethics must be disclosed at the earliest opportunity. The board of directors is responsible for the determination whether a conflict of interest exists and its ongoing review. If a member has a conflict of interest, they are not allowed to vote on issues that conflict with their interest.

Form 990, Part VI, Section B, Line 15A

The association's executive committee is responsible for review of the ceo's salary. The executive committee performed a comprehensive review of the salary and benefits of the ceo on november 1, 2019. A consultant was retained to gather information on compensation plans of ceos in similar positions and similar job responsibilities. In addition to the base salary, the ceo has an incentive compensation plan. The plan is based on the financial performance of the association and the calculation of payment is determined by a fixed formula. The plan was approved by the board of directors. Line 15b the ceo is responsible for the review and setting of salary levels of all other association executives and key employees. Base salary levels are determined from personal knowledge of the market value of each position, and from net working with ceo counterparts of like associations. Executive officers and key employees participate in the same incentive compensation plan as the ceo, but the ceo is responsible for the allocation of payment amounts among staff instead of the executive committee.
