Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws were amended in september 2021 with a goal to have simplicity and flexibility. The following is a list of the changes made: section 2.2: -changed minimum number of directors to five and maximum to 18. -the prohibition against a director holding office contains an exception for the city of atlanta and fulton county recreation authority. -term length was changed from three years to two and directors are eligible to serve three consecutive terms. Section 2.5: -board nominations can be made throughout the year and the vote will be held between 10/1 and 12/31 with the term starting on 1/1 of the following calendar year. -directors will receive notice of a vote and qualifications/resume of the nominee at least 30 days ahead of time. Section 2.6: -directors will receive ten days notice if removal of a director is on the agenda. Section 2.8: -directors will not be reimbursed for costs to attend board meetings. -any compensation from the gpc to a director greater than $500 requires board approval. Section 2.9: -the position of emeritus director has been eliminated and the executive committee cannot appoint ex-officio directors. Section 3.5: -section deleted (assumption that directors had approved board action unless the minutes reflect dissent). Section 3.5 (formerly 3.6): -quorum requires one-half of directors who are eligible to vote. Section 3.9: -right to vote by proxy has been deleted. Section 4.1: -"chair elect" removed from the by-laws. Section 4.2: -officers will be voted on between 10/1 and 12/31 and terms will start 1/1. Section 6: -board chair appoints members to committees and chairpersons must be board members. -committees cannot act without board approval. -executive committee hires executive director and sets compensation. -finance committee does not have authority to invest money, sell stocks, etc. Without board approval.

Financial Statement Notes

PART V, LINE 4:

The purpose of the richard ("dick") s. Perles grant park endowment fund is to honor dick perles and provide financial support and public recognition for the work of the grant park conservancy and its commitment to the cultivation of resources to assist the city of atlanta in the preservation, restoration, and beautification of grant park. During his lifetime, dick perles was particularly interested in the planting of trees in grant park to replace those that had reached maturity; and to the extent that tree planting and the care of trees in grant park is needed, preference shall be given to using the annual spendable income of the fund for such purpose as well as any reasonable administrative costs associated with this purpose.

PART X, LINE 2:

Under section 501(c)(3) of the internal revenue code, the organization is exempt from taxes on income other than unrelated business income. For the year ended june 30, 2022, the organization did not have any unrelated business income. The organization utilizes the accounting requirements associated with uncertainty in income taxes using the provisions of financial accounting standards board (fasb) asc 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more-likely-than-not the positions will be sustained upon examination by the tax authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting in interim periods, disclosure and transition. As of june 30, 2022, the organization has no uncertain tax provisions that qualify for recognition or disclosure in the financial statements.
