The compensation committee evaluates total compensation including base salary, bonus (if any), along with insurance and retirement contributions as part of its market evaluation. The board establishes a budget average for annual performance based raises for all employees. The compensation committee may provide the ceo an annual performance based bonus and/or performance based annual salary increase annually but is not required to do so. The committee may also consider and implement market based changes in the ceo's compensation.”
