NOTE: While there were no assets to distribute, transfer, etc. at the time of dissolution, we did convert an asset in the amount of $1,064,621.00 to an expense to the Samuel Mutombo Institute of Science and Entrepreneurship (the school), which represents the amount DMF contributed to the school to cover construction costs (Construction in Progress). The Foundation's legal counsel has advised us of the following, which we believe justifies removal of the asset. 1.The school exists in reality and has a governmental declaration of existence (as a separate legal entity or quasi-entity/association). 2.To our knowledge, the school has no formal tie to DMF, even though DMF has provided the bulk of funds to build it. 3. It was placed on DMF's 990 because of Dikembe's functional control over the school, combined with DMF's support. 4. Dikembe is apparently doing very poorly and is no longer active in the school's affairs, to our knowledge. 5. Dikembe no longer has any affiliation with DMF. 6. DMF no longer provides any support for the school.”

“1. Reversal of bank fee $20.00 2. Correction to liabilities: Payroll Taxes Payable $1,688.00 and Wages Payable $4,535.00, which were the amounts showing on Balance Sheet at the time of dissolution. According to the organization's legal representative, DMF has been diligently investigating in detail any outstanding financial obligations (per letter to the Office of the Attorney General dated 10/31/2023) and is confident that all wages and taxes owed have been paid. We believe the books reflect a lack of audit adjustments that would have been made had formal audits been performed for the years 2016 through 2019.”
