“The draft 990 is emailed to all directors with a note that it will be filed on a specified date, subject to any comments which may be made by the directors. Directors are instructed to raise any issues they are concerned about in the 990 with the organization's counsel.”

Directors whose compensation is being voted on, or whose relatives' compensation is being voted on, are excused from the deliberations and do not vote on their own or their relatives' compensation.”
